Position Summary
Acting effectively both on independent work and as a trusted part of various deal/transaction teams.

The Junior Securities/Corporate Paralegal is primarily responsible for assisting the Corporate Finance and Securities Group, but must have a working knowledge of, and be able to assist with related basic corporate matters.


Standard Responsibilities
The Junior Securities/Corporate Paralegal is responsible for the following duties under the guidance and oversight of the lawyers and other paralegals in Lawson Lundell LLP Corporate Finance and Securities Group:

  • Drafting and filing reports of exempt distribution in all jurisdictions of Canada, including reviewing related subscription agreements and identifying deficiencies.
  • Drafting material change reports and drafting and issuing news releases.
  • Assisting with the preparation and filing of various annual and ongoing continuous disclosure documents for reporting issuers, including annual participation fee forms and filings.
  • Daily use of SEDAR+.
  • Familiarity with opinions and the process for preparing and giving local counsel opinions.
  • Disseminating news releases.
  • Requesting and obtaining ISIN and CUSIP numbers.
  • Preparing correspondence and various TSX and TSX-V filings.
  • Preparing draft public company documents, including annual general meeting materials and private placement documents.
  • Drafting resolutions, officer's certificates.
  • Obtaining certificates of status from securities regulators; reviewing defaulting issuer lists.
  • Conducting searches for public company information and precedents.
  • Other duties and responsibilities as required.

Qualifications

  • A Paralegal diploma/degree from an accredited institution.
  • Between 2 to 5 years' experience as a securities paralegal or as a corporate paralegal with some previous exposure and interest in securities laws.
  • Comprehensive knowledge of SEDAR, SEDI and SEDAR+ transition matters.
  • Advanced legal software skills (MS Office, Adobe, Excel, iManage, DMS).
  • Problem solving and decision making: Ability to identify problems, solve them, act decisively, and show good judgement; acts independently where warranted and is proactive with tasks, clients and lawyers.
  • Change agility: Adaptable; embraces need for change and able to modify behavior as appropriate.
  • Communicates Effectively: Exceptional written and oral communication skills; ability to communicate effectively with individuals at all levels in the organization.
  • Exceptional attention to detail and accuracy: Work product is consistently thorough and free of mistakes.
  • Exceptional technical expertise: Knowledgeable, experienced, and skilled in legal administration in business and securities. Keeps abreast of industry trends and innovations, translating knowledge into added value for the Firm.
  • Technology Savvy: Values technology and understands the necessity of leveraging it to stay productive and competitive. Proactive in investigating and adopting new technologies to achieve competitive advantage.
  • Relationship Building: Consistently builds and conserves positive relationships.
  • Familiarity with registration matters including agent for service matters, NRD and international adviser/dealer matters.
  • Ability to liase with corporate services department on various corporate matters.
