Job Description:


Brookfield's Legal & Regulatory Group is looking for a Corporate Counsel to support and work closely with our legal team on various internal and external facing legal matters.

Securities Regulation

  • Assist with the execution of debt and equity securities offerings and other securitiesbased transactions, including Brookfield issuer bids
  • Assist with the preparation and review of Brookfield's corporate disclosures including Management Information Circular, Annual Information Form, Annual Report, and Quarterly Financials
  • Responsible for Brookfield's normal course issuer bids for preferred and common shares
  • Assist in establishing and monitoring trading protocols for Brookfield and associated entities
  • Support the Corporation's Treasury department on matters that may arise from time to time
  • Supervise the submission of filings on the TSX and NYSE
Corporate Governance

  • Assist the Senior Vice President, Legal & Regulatory with various matters relating to the Brookfield Board of Directors, as well as the boards of affiliated public and private entities, including preparation of quarterly Board materials and meeting minutes
  • Review and prepare responses to stakeholder communications (_e.g._, letters from institutional investors) on governance related matters
  • Assist with the annual general meeting of shareholders, including responding to any shareholder proposals
  • Assist the Corporation in its review and evaluation of ongoing governance matters and legal entity management
Legal and Corporate Compliance

  • Assist with the management of the Corporation's intellectual property
  • Responsible for legal research and preparation of internal memoranda on legal matters relevant to the Corporation's activities
  • Assist in the development and management of Brookfield's approach to privacy, data, and document security
  • Assist with the development, drafting and updating of corporate policies including overseeing the annual review of all corporate policies
  • Prepare, review, and revise Brookfield contracts, including nondisclosure agreements
  • Serve as a legal resource on internal corporate initiatives, including internal reorganizations and other corporate transactions
  • Lead responses to "knowyourclient" requests from financial institutions and other partners
  • Manage regulatory corporate compliance filings and activities
  • Develop, implement and improve processes for the Corporation's global regulatory and other filings (e.g., antitrust filings, CFIUS)
  • Supervise updates to Brookfield's corporate organizational charts, including its private subsidiaries and director and officer listings and transactions lists
  • Oversee formation and dissolution of entities, minute book updates and corporate resolutions
  • Respond to internal and external stakeholder inquiries regarding corporate legal matters

Requirements:


  • Be called to the Bar in Ontario or equivalent in another Canadian jurisdiction
  • Have a minimum of three years' post call experience as a lawyer familiar with securities, preferably gained at a major Toronto law firm and/or at within the inhouse legal department of a large publicly traded corporation
  • Familiarity with Canadian and U.S. securities law is an asset
  • Strong communication skills and judgment: ability to present clearly, develop practical solutions, and exercise sound judgement
  • Selfmotivated and proactive; eager to take ownership and able to advance work independently
  • Teamoriented; demonstrates a commitment to shared success
  • Excellent interpersonal skills and ability to develop collaborative relationships at all levels in the organization
  • Strong analytical and problemsolving skills combined with attention to detail and thoroughness
  • Excellent organizational skills to effectively manage priorities while meeting timelines
