About this role:


The Legal team has an exciting opportunity for a Legal Manager, Commercial in our North America office based in Vancouver.

This position will report to the Head, of Legal, North America, and work with a variety of internal partners across all functional areas at the North America office based in Vancouver, as well as at the mine sites.

Primarily supporting commercial matters for Newmont's mine sites in Ontario and Quebec but capable of supporting other North America business unit legal work.


The Legal Manager, Commercial will provide legal advice, analysis, and support on a broad range of areas including, commercial contracts, joint venture management, environmental and permitting, local partner disputes, and corporate transactions (acquisitions, divestitures, and other public M&A with TSX listed companies).


Your role will consist of:

Here is a snapshot of what your day-to-day will look like:

  • Provide legal counsel and advice to Newmont's mine sites in Ontario, but also capable of advising on commercial matters relating to the Provinces of Quebec, British Columbia, and Yukon.
  • Negotiating, drafting, and interpreting sophisticated agreements.
  • Supporting commercial negotiations and leading existing partner relationships and projects.
  • Providing legal advice to internal partners in order to support the business in achieving its objectives, mitigate risk/commercial disputes, and ensure compliance.
  • Support joint venture development/management, and other transactional matters within the North America business unit involving other TSX listed mining companies.
  • Keep abreast of legislative changes and be attuned to legal and business trends that could impact the business and proactively and effectively communicate this information to key partners.
  • Ensure and make sure all departments' adherence to company contracting standards and procedures, including but not limited to regular training rollouts.
  • Serve as an internal resource on legal claims and disputes relating to commercial arrangements, whether it be royalty disputes or construction contract disagreements.

Your Training, Skills & Experience checklist:

Education:


  • J.D. or L.L.M. at an accredited law school with at least 7 years of postcall experience gained inhouse or private practice, and with a strong background in commercial law.
  • Called to the Bar of a Canadian province
  • BC or Ontario preferred.
  • Experience:
  • Shown experience drafting and negotiating complex commercial agreements.
  • Experience in resource extraction law (mining or oil & gas) is an asset.
  • Skills and Abilities:
  • Strong understanding of relevant legal issues, laws and regulations.
  • Strong analytical skills and discernment to make sound decisions and recommendations.
  • Excellent interpersonal skills and ability to engage successfully with personnel throughout an organization.
  • Strong organizational abilities.
  • Effective oral and written communication skills.

  • The position is located in the North America office based in Vancouver (or working remotely from Ontario).
  • Position may involve travel to Newmont sites and other office locations for meetings.
