About the role
We're looking for a
Legal Counsel to join our Corporate Secretary's Office team


What you'll do here:


  • Prepare legal documentation in connection with the maintenance of the corporate structure and corporate reorganizations with a view of rationalizing/improving the structure in conjunction with the evolution of IFC's business strategies, and implementation in collaboration with various departments across the company.
  • Develop and enhance corporate governance practices specifically through the elaboration of Board processes and policies and disclosure practices.
  • Assist in the preparation, review and communication of Board of Directors and committee materials.
  • Assist on M&A and other transactions and corporate development.
  • Identify strategies to maximize efficiencies and achieve operational objectives while protecting the Company's interests and minimizing its legal exposure.

What you'll bring to the table:

  • Member in good standing of the Law Society.
  • 510 years' experience at a large law firm or large inhouse department in corporate, securities, M&A, governance, continuous disclosure and/or tax related matters.
  • Excellent drafting and communication skills in English. Although not strictly required, aptitudes in French will be an important asset.
  • Confidence managing files independently with mínimal support.
  • Sound judgement and the ability to assess the practical implications of legal risks.
  • Ability to proactively propose innovative solutions.
  • Ability to build relationships with business units and stakeholders and influence decision making at the operational and corporate level.
  • You enjoy challenging work in a fastpaced environment.
  • You are practical, businessminded and work efficiently to manage a significant file load.
  • You are mature, professional, positive, personable and possess the confidence and knowledge
- to make decisions quickly and the dynamism to adapt to changing needs.
