Summary:

Canderel is looking for an experienced, rigorous and passionate Corporate Paralegal to join its growing legal team.

In this role, the Corporate Paralegal will collaborate and participate with internal teams in various stimulating files and work closely with several senior executives in Legal, Accounting, Finance, Development and Family Office.


Responsibilities:


  • Maintain records and minute books of various corporate entities and drafting corporate resolutions, meeting minutes, organizational charts, schedules and information sheets and other meeting material and legal correspondence.
  • Attend to the creation of organizational structures and prepare legal documentation involved in the incorporation, registration, legal organization, statute amendment, amalgamation, or dissolution of corporations in Quebec and other provinces.
  • Support the Finance and Accounting teams regarding the accuracy of all capital stock matters and the filing of government returns/declarations/compliance forms.
  • Review and prepare regulatory filings for KYC, ISC, GAAR, LOTA and Statistics Canada
  • Identify specific as well as broad underlying issues in area of expertise and work independently on complex assignments.
  • Maintain corporate files (ecopies and paper copies) using Athennian and various software.
  • Liaise with internal teams as well as outside counsel and manage requests for information.

Desired Skills and Experience:


  • Postsecondary diploma, Paralegal Certification or equivalent experience.
  • Minimum 5 years' experience as a paralegal in corporate law
  • High level of English and French, spoken and written. English is required for this position as certain tasks are related to entities or transactions located in provinces other than Quebec
  • Good organizational skills, priority management, thoroughness, and rigor
  • High degree of confidentiality
  • Selfstarter who can work under minimum supervision
  • Ability to work under pressure, meet deadlines and deal with multiple requests and demands
  • Knowledge of Athennian or other similar software
  • Proficient with Microsoft Office suite: Word, Visio and Excel.
