Role:


Reporting to the Director, Corporate Secretariat of George Weston, the Law Clerk will be part of a high-energy team responsible for various corporate secretarial matters and assisting with corporate transactions, securities law compliance and continuous disclosure requirements.

The Law Clerk will work closely with a variety of stakeholders, including senior executives and the board of directors. The Law Clerk will also assist with entity management services for numerous domestic and international legal entities.


Responsibilities:


  • Organize board, committee and shareholder meetings, as well as assist with the preparation of required materials, including uploading material to the board portal.
  • Oversee logistics and facilitate board meetings, including audio visual requirements, conference calls, hotel/travel arrangements, and catering.
  • Attend to SEDAR, SEDI, TSX and corporate filings.
  • Maintain minute books and other corporate records.
  • Assist with transactions, including acquisitions, divestitures and financing matters.
  • Assist with the preparation of continuous disclosure documents, such as the Annual Information Form and the Management Proxy Circular.
  • Ensure compliance with relevant statutory requirements.
  • Provide input on and assist with corporate governance matters.
  • Assist other Corporate Secretariat and Legal department members, as necessary.
  • Be involved in a variety of special projects.

Qualifications:


  • Minimum 2 years' experience as a Corporate Law Clerk at a national law firm, financial institution or publicly traded company.
  • Member in good standing with the Institute of Law Clerks of Ontario, or equivalent
  • College Law Clerk Diploma or Paralegal License.
  • Previous experience in the corporate secretariat department of a publicly traded company is an asset.
  • Experience with Global Entity Management System (GEMS), Diligent Boardbooks, and other corporate systems is an asset.
  • Knowledge and understanding of applicable statutes (for example, CBCA, OBCA, and partnership and business name registration statutes).
  • Understanding of relevant securities and stock exchange requirements is an asset.
  • Positive attitude with superior verbal and written communication, organizational and multitasking skills.
  • Ability to work in a fastpaced environment where attention to detail, accuracy and confidentiality are critical.
