LEGAL CONTRACT SPECIALIST


JANA is looking for a dedicated, detail-oriented and driven individual to join our Finance Team as a Legal Contract Specialist.

JANA's Legal Contract Specialist works cross-functionally with JANA's Sales, HR, Finance and IP teams, helping to keep processes moving and taking ownership of the entirety of JANA's contract pipeline and repository.

The incumbent should be a self-motivated individual with excellent verbal and written communication skills who takes pride in being detail-oriented.

Responsibilities:


  • Reports to the Chief Financial Officer
  • Facilitates the review and negotiation of businesscritical client contracts.
  • Independently drafts, prepares and files nondisclosure agreements and vendor contracts.
  • Monitors and researches changes in federal, provincial and local employment, benefits, compliance and compensation laws and regulations.
  • Maintain compliance, filings, minute books and maintenance of JANA group of companies.
  • Maintain and optimize insurance coverages and risk mitigation policies.
  • Collaborates with JANA's HR and security teams on the documentation of key corporate policies.
  • Maintenance of corporate records, contracts and policies.
  • Engages with external legal counsel as required.
  • Manages JANA's phantom stock option plan.
  • Assists with regulatory compliance initiatives, including initiatives relating to data privacy and security.
  • Coordinates JANA's IP Committee for copyright, trademarks & trade secrets, including reviewing client reports for IP.
  • Produces and distributes documents, ensuring security and confidentiality of information.
  • Responds to internal/external inquiries concerning legal and regulatory issues.
Required Skills & Experience

  • Undergraduate Degree in Law, Business, or Management
  • Completion of Legal Assistant, Law Clerk or Paralegal certification, Licensed Paralegal preferred
  • 5+ years legal administration experience in a corporate or labour practice, within Ontario (required) and for U.S. organizations (preferred)
  • Thorough knowledge of legal best practices and corporate compliance requirements in a corporate environment
  • Experience with preparation of legal documents, contracts, agreements, records and file systems, and legal administrative practices, with strong attention to detail
  • Demonstrated ability to research/investigate issues and resolve problems
  • Ability to influence crossfunctional teams without formal authority
  • Ability to work independently with strong follow up skills
  • Develops and leverages relationships with stakeholders to stretch and impact the business
  • Clearly articulates ideas, opinions and information so that the intended purpose is achieved and the needs of the audience are met
  • Highly proficient in the Microsoft Office Suite
