    Client Relationship Officer, Private Banking

    Reporting to the Assistant Vice President - Team Leader, Corporate Secretarial Services, this position is responsible for providing quality corporate administration of a portfolio of local and international client entities and serving as a resource to the Trust teams.

    Your responsibilities will include:

  • Ensuring that the corporate records of each company are current, the company is in compliance and in good order, and that changes to the regulatory and administrative status of each company are maintained on a current basis.
  • Arranging Board and Shareholder meetings as required, including preparing meeting documents; convening and attending as meeting secretary; ensuring meetings are properly held and constituted; providing advice on corporate secretarial matters, as necessary; and preparing and finalizing minutes.
  • Responding to requests from Trust company Relationship Managers and/or authorised client representatives to effect company transactions.
  • Maintaining statutory registers, including Register of Members, Register of Directors and Officers and Beneficial Ownership Registers and others as may be necessary.
  • Submitting statutory and economic substance filings as necessary for client companies.
  • Preparing documents related to members voluntary liquidations and strike offs.
  • Ensuring that annual company and license fees payable in accordance with the relevant legislation are collected and remitted to the regulatory authorities on a timely basis.
  • Preparing and filing applications to establish all types of Bermuda companies and partnerships.
  • Keeping abreast of new legislation and updating client company records for compliance, as necessary.
  • Providing corporate secretarial advice to the Trust Team.
  • Managing invoicing and fee payment for client entities.
  • Maintaining and developing key client relationships, including taking an active role in solving client concerns.
  • Fulfilling client compliance requirements in line with Butterfield policies and procedures.
  • Any related duties and special projects as assigned by Senior Management.
  • Your qualifications and skills include:

  • A minimum of three years corporate secretarial experience, including the management of a portfolio of entities and drafting of resolutions/company documents.
  • Sound knowledge of corporate secretarial practice, meeting protocols and procedures, sound governance practices and legislative compliance, economic substance and the functions and responsibilities of company directors.
  • Working knowledge of Bermuda Company legislation (knowledge of BVI, Cayman Islands legislation or other domiciles would be an asset).
  • Professional qualification, graduate or student member of the Chartered Governance Institute (ICSA) or undergraduate degree with relevant major and willingness to pursue a governance qualification.
  • Successful completion of Bermuda ICSA Corporate Procedures I and II would be an asset.
  • Familiarity with the Bermuda ROC Portal and INTEGRA would be an asset.
  • Excellent written and verbal communication skills and ability to work independently.
  • Proficient in Microsoft Office Suite (Word & Excel in particular).
