About the team:
The Legal team is an integral part of AGF Management.
The team is primarily responsible for providing legal, risk management and governance advice to all AGF business units and affiliates.
About the role:
Working out of AGF's corporate head office in Toronto and reporting to the Vice-President, Legal Counsel, you will provide legal support across all AGF business units on a wide range of corporate, securities, governance and investment management matters relevant to AGF's varied scope of diversified global asset management.
Your Responsibilities:
- Drafting offering documents and continuous disclosure documentation (including for the launch of investment funds and other key projects) domestic and international.
- Providing advice and guidance on AGF's public company continuous disclosure and public markets obligations.
- Drafting and negotiating commercial vendor contracts, investment management agreements and other legal contracts.
- Monitoring and advising on securities and general corporate regulatory developments and implications.
- Working with AGF's internal and external business partners to effectively manage corporate and business risk, including an emphasis on the evolvement of AGF's digital transformation.
- Assisting in the continuing development and management of AGF's approach to privacy, data and document security.
- Assisting with the governance of various corporate entities (and other entities) within the organization.
- Managing the engagement of external counsel.
Your Qualifications:
- Law degree; Membership in good standing with the Law Society of Upper Canada.
- A legal counsel with 3 to 7 years postcall experience in corporate and securities law gained either at a leading law firm or financial services corporation.
- Must be independent, organized and detailoriented, and possess highly developed business problemsolving skills.
- An ability to multitask, take initiative and interact effectively with stakeholders at different levels in and outside the organization will be essential.
Your Assets (but not mandatory):
- Legal experience in the area of investment funds and/or asset management.
- Basic knowledge and experience with corporate governance matters and/or derivatives transactions.
