The Canada Infrastructure Bank (CIB) is an impact investor, working in partnership with governments, Indigenous communities and the private sector to invest in infrastructures that enhance the quality of life of Canadians.


By attracting and leveraging private sector and institutional investment in revenue-generating infrastructure projects in the public interest, we are building a portfolio of investments in key sectors including public transit, clean power, green infrastructure, trade & transportation and broadband that will support action on climate change, foster economic growth, connect Canadians and help close the Indigenous infrastructure gap.

The CIB is looking for a finance lawyer to join our Legal Team on a 12-month contract.

Reporting to the Associate General Counsel, you will be responsible for providing legal advice, transaction expertise and add value to the execution of a growing number of financing transactions that the CIB is entering into with proponents and project sponsors in each of the CIB's priority sectors listed above.


In this highly collaborative role, you will be working closely with the CIB's Investments, Risk and Asset Management Teams, supporting and advising them on a wide range of transactional and corporate matters.

A motivated self-starter with a partnering focused mindset, you will find yourself exposed to a broad range of business activities related to the due diligence and execution of bespoke financing transactions, including secured and unsecured loans, equity investments, loan guarantees and other risk-bearing financial instruments.

Your responsibilities include:

  • Provide practical legal advice and transaction expertise to the Investments, Risk and Asset Management teams on issues and risks in a range of infrastructure financings, within the scope of the CIB's investment mandate and authorities
  • Advise on the structuring of financings and negotiate agreements with the proponents of infrastructure projects, work together with external legal counsel on drafting and negotiating transaction documents, and assist with the legal aspects of project monitoring and asset management
  • Engage with the Investments Team and external counsel and provide support on both transactionspecific considerations and enterprisewide investment policies and procedures
  • Plan, develop and execute on a variety of complex legal initiatives and innovative projects
  • Generally, assist on any other legal matters as they arise
  • Support the development of policies, procedures, systems and training on investmentrelated legal compliance and risk management matters
  • Anticipate, identify and assist in managing legal risks relating to investment strategies, project structures, and new or amended laws or regulations that impact the CIB's investment strategies
Your ideal profile

  • B.CL./LL.B./LL.M/JD or equivalent required.
  • 4 to 8 years of legal experience in corporate finance, project finance, banking and public private partnerships at a leading law firm and/or inhouse corporate legal department for an arranger, agent, developer, sponsor, bank, pension fund, life insurance company or other institutional investor
  • Industry experience acting for a lender or borrower leading the execution of infrastructure financings (equity or debt), project finance in the infrastructure space is preferred
  • Bilingual in both official languages (French and English) verbal and written is highly desired
  • Able to communicate effectively with internal and external stakeholders at a high level with appropriate legal solutions
  • Strong communication and interpersonal skills, including an ability to build relationships and work cooperatively with many different stakeholders
  • Motivated selfstarter with the ability to work independently with mínimal supervision on a range of projects
  • Strong organizational, project management and decisionmaking skills and able to manage multiple competing projects to completion
  • Demonstrated good judgment and professionalism
