Description
The Corporate Counsel plays a key role in the day to day internal legal matters of the Company. The Company is a rapidly growing, professional services firm that provides services to law firms and corporate law departments.

To date, the Company consists of LAC Group, Wilson Allen, HBR Consulting, and has completed other small acquisitions to date with operations globally in the U.S., Canada, and the UK.

This role will report to the Chief Financial Officer and be responsible for internal legal matters. Corporate Counsel will also work closely with other lawyers that focus on meeting client needs.

The Corporate Counsel role is located in Canada and is fully remote.


Responsibilities:


Key Objectives:


  • Work with the CFO and external counsel to standardize all paper (MSAs / SOWs) across the acquired businesses to help scale up the organization
  • Establish a robust internal contract review process, including implementation of software as part of contracts review and management
  • Work with CFO to implement a legal risk matrix across the organization for various T&Cs that includes paralegals doing an initial review with escalations that follow the legal risk matrix

Your Responsibilities:


  • Redline and edit contract language, suggest alternate terms based on the needs of the engagement/stakeholder and incorporating clientdefined standards
  • Review and provide feedback on vendors' data privacy and data security language to ensure optimal protection for our clients
  • Identify terms and conditions options, and/or carveout strategies,
  • Minimize legal risk to the Company
  • Engage with department leaders to discuss upcoming contract renewals.
  • Facilitate terms negotiation process and act as liaison between internal and external personnel throughout process including identifying points of escalation
  • Communicate pertinent information in the Terms and Conditions of each contract to appropriate end users.
  • Effectively manage pipeline of work including tracking status of reviews, providing proactive updates to stakeholders, timely follow up internal and external
  • Manage administration of contracts track, analyze, aggregate, and report necessary information, using our proprietary contract management technologyThis includes: Key milestones, incentives, notifications, commencement and expiration dates of agreements, support contact information, and collecting information to determine the Firm's needs before negotiations.
  • Act as key point of contact for any questions / needs regarding contracts.
  • Develop and administer standard agreement templates including Non-Disclosure Agreements, Standard contracts, and Statements of Work.

Qualifications:


  • Juris Doctor (JD) is required
  • Ideally 3+ years experience at a leading law firm
  • Experience in reviewing US and UK contracts is strongly preferred
  • Experience in contract development, redlining, legal terms review, negotiations, contract management
  • Working knowledge of data privacy and data security laws (such as GDPR) is a plus
  • Ability to interpret complex policies and legal language, and assess business risk and help plan a risk mitigation approach.
  • Ability to build collaborative relationships and effectively communicate (orally and written) with managers, internal clients, vendors, colleagues and support staff
  • Demonstrates proactivity and takes ownership of daily responsibilities and projects, including contract administration
  • Effective organizational skills in a high paced environment
  • Willingness to learn and adapt to change
  • Extremely responsive and customerfocused; appropriate followup and followthrough
  • Commitment to superior quality and accuracy
  • Experience in M&A is a plus

Pay:
$80,000.00-$125,000.00 per year
