Department Overview


The Corporate Development Group is primarily responsible for leading the process for the identification, research, analysis and internal presentation of acquisition / divestiture opportunities for TDBG globally.

In addition, Corporate Development is responsible for the identification and presentation of issues of strategic importance to TDBG that impact the environment for acquisition / divestiture opportunities through preparation of business cases for executive review, and development of execution plans where necessary.


  • The Corporate Development Group will also provide leadership and direction in the due diligence process and provide a range of analytical support to enable effective and efficient execution on potential mergers and acquisitions in line with TDBG frameworks.
Job Details


Reporting to the SVP, Corporate Development, Strategy & Funding, the VP plays a pivotal role in structuring and leading analysis, managing due diligence processes, and summarizing and presenting results of comprehensive reviews, including identification of key risks and opportunities.


Key Accountabilities

  • Assume responsibility for endtoend management of complex and sizeable transactions, including managing the relationship with the target, coordinating internal and external resources required to assess and deliver the transaction (Bankers, Legal, Tax, Investor Relations etc.), developing integration and "handoff" plans
  • Partner with EDS to ensure that the M&A efforts of the Bank align with the enterprise and business strategies
  • Oversee the complex research and analysis for, and support corporate development activity across the 'lifecycle' of transactions which may include acquisitions, divestitures, strategic joint ventures and partnerships
  • Develop strategic ideas and initiatives, monitor industry developments including target identification,
  • Conduct due diligence, comprehensive assessment, analysis and valuation, including summarizing findings and identifying key risks and opportunities
  • Conduct in depth due diligence coordination and presentation by working with multiple stakeholders including Finance and Capital Management departments to develop deal structuring options
  • Oversee the development of comprehensive presentations summarizing a given transaction and its strategic and financial impacts for Senior Executive and the Board, as may be applicable
  • Work with internal partners / multiple stakeholders including Investor Relations on external presentations
  • Work with the TD Legal team and/ or external advisors to support business case and deal development and related term sheets
  • Postannouncement support and coordination: risk identification and management, approvals process, closing, integration support, etc.
  • Responsible for endtoend management of certain transactions (size / complexity dependent), including managing the relationship with the target,
  • Coordinate internal and external resources required to assess and deliver the transaction (Bankers, Legal, Tax, Investor Relations etc.)
  • Provide leadership and mentor, coach and oversee a team of professionals / specialists / analysts and support staff
  • Build and maintain strong partnerships and/or productive internal and external working relationships
Job Requirements


Skills and Experience

  • Demonstrate good knowledge of key Finance issues (accounting, treasury, tax, capital, etc.) and creativity in structuring solutions
  • Demonstrate maturity, presence, sensitivity and experience in dealing with senior relationships (internal management, external advisors, target employees, etc.)
  • Supervise development of financial models / research capabilities that provide a holistic view of the impact of a given strategy or transaction
  • Deal structuring and negotiating experience
  • Must have a high degree of numeracy and be comfortable with strategic and financial analysis
  • Extensive experience constructing and leading the development of complex financial models that provide a holistic view of the impact of a given strategy or transaction
  • Extensive experience in treasury and funding
  • Must have a thorough knowledge of the meaningful financial drivers of various types of financial services companies both domestically and internationally in identifying and/or supporting potential transactions
  • Demonstrated ability to manage complexity, including multiple workstreams and projects, and meet challenging timelines.
