DUTIES AND RESPONSIBILITIES

  • Provide a full suite of legal advisory services to the portfolios, including the review and negotiations of a broad range of commercial contracts on behalf of various internal lines of business, such as technology and intellectual property licensing, SaaS, hosting, cloud, professional services, support services and service level agreements, consulting services, leases, purchasing, distribution, reseller, revenue share among others.
  • Support corporate acquisitions by participating in or coordinating due diligence and integration activities in conjunction with the Senior Corporate Counsel, and FOG's M&A deal team.
  • Negotiate and draft M&A transaction documents.
  • Facilitate legal entity management and corporate governance related issues and work closely with other regional legal experts who provide legal entity support.
  • Develop, draft and implement appropriate corporate compliance policies and processes.
  • Work with business lines to develop and maintain standard form agreements for products and services offered by the company in support of pivotal initiatives and in the ordinary course
  • Work effectively with external counsel.
  • Assist where needed on other legal matters from time to time.

QUALIFICATIONS AND SKILLS

  • Qualified legal professional with at least 35 years of relevant legal working experience.
  • Admission to practice law in Canada or the U.S.
  • Knowledge and experience in drafting, negotiating, structuring and advising on private M&A, and various types of commercial contracts and transactions, in particular, relating to software licensing and related services.
  • Good overall understanding of intellectual property law and other technologyrelated legal principles.
  • Experience working on private mergers and acquisitions.
  • Outstanding written and verbal communication, negotiation and drafting skills.
  • Excellent analytical and problemsolving skills and attention to detail.
  • Team oriented and able to establish relationships with all levels of the organization.

Salary ranges are determined through interviews and a review of education, experience, knowledge, skills, abilities of the applicant, equity with other team members, and alignment with market data.
