mdf commerce Inc . is an international team of over 700 experts who develop a broad set of SaaS solutions to optimize and accelerate commercial interactions of our B2B and B2G customers.

Working in the e-procurement sector, we are currently looking for a paralegal to join our team in the legal department at mdf commerce.


What will your main responsibilities look like?

In this role, you will be led to:

  • Supporting the business units and the Legal team by being involved in various corporate and commercial matters such as mergers and acquisitions, financings, commercial transactions, corporate reorganizations and other transactions;
  • Writing minutes of meetings and resolutions for all legal entities, and managing the minute books of mdf commerce and its Canadian, American and international subsidiaries;
  • Making annual and ad hoc filings with governmental authorities in Canada and the United States, and with securities authorities in Canada, including SEDI, TMX Linx and SEDAR filings;
  • Participating in the preparation of documents and logistics relating to the annual meeting of shareholders as well as the annual report, the annual information form and the management proxy circular;
  • Managing and overseeing the Company's trademark portfolios in conjunction with the Company's external legal counsels;
  • Managing and coordinating with internal and external stakeholders, including the company's insurance broker, the company's insurance portfolio, which involves the annual insurance portfolio renewal process and the timely issuance of certificates of insurance required by the company's operations;
  • Drafting and reviewing nondisclosure agreements and agreements based on standard terms, such as modifications and extensions of existing agreements, simple service agreements and consulting agreements;
  • Maintaining the Legal team databases, including legal entities, contracts and authorized signatories;
  • Participating in special projects and assisting in the preparation and review of presentations for the Legal team.

What elements of your professional background will be necessary and useful in this role?

  • Your college diploma in paralegal technology;
  • Your professional experience (at least 5 years) in corporate/commercial law, within a legal department (ideally in a publicly listed company) and/or a law firm;
  • Your English and French language skills, both oral and written, due to frequent interactions with English and Frenchspeaking internal and external colleagues and partners across Canada and the United States;
  • Your experience with SEDAR, SEDI, TMX Linx, Shareworks and any other platform used in a public company context;
  • Your indepth knowledge of the Microsoft Office 365 suite (in particular Word, SharePoint, Teams, PowerPoint and Excel);
  • Your ability to work with mínimal supervision, under pressure, to manage multiple competing priorities and to provide practical solutions in a fastpaced and changing environment;
  • Your attitude of "business partner" and your customer focus;
  • Your great team spirit and leadership, your motivation, your confidence and your professional attitude;
  • Your ability to work closely with others and to develop close relationships with people at all hierarchical levels
  • Your excellent English and French language skills, both oral and written, due to frequent interactions with English and French speaking internal and external colleagues and partners across Canada (and elsewhere if applicable).
