About the Role:
Key Responsibilities:
The main responsibility will be to ensure you are maintaining entities compliant in multiple jurisdictions across Canada while adhering to tight deadlines.
- Manage multiple clients with transactional and corporate governance work;
- Deal with compliance queries and general entity management requests, on a day to day basis from clients, auditors and internal staff;
- Maintaining and updating Corporate Minute Books in different jurisdictions;
- Organizing and attending board committee and general meetings and producing resolutions, minutes;
- Draft resolutions for the Annual General Meeting as per different jurisdictions;
- Ensuring all Companies Act filings and registrations are made in a timely and accurate manner for the client entities;
- Assisting with entity incorporations and extra provincial registrations and business names;
- To work simultaneously with various entity and file management platforms.
- Assist with the opening bank accounts

Job specific competencies
- Minimum 2 to 5 years of experience as a Corporate Legal Secretary or similar position gained in a legal environment;
- Extensive legal document drafting experience;
- Fluent in English, both written and spoken;
- Exceptional proofreading is required to ensure the accuracy of the documents and correspondence;
- Detailoriented, analytical, flexible, and able to adjust to changing work demands;
- Experience working on cross functional teams in a highly matrixed environment.
- Strong organizational and time management skills;
- Ability to form relationships with clients and create confidence;
- Analytical
- Selfmotivated and able to work both independently and as part of a team;
- Thrives under pressure and is result oriented;
- Experience with Trust and cooperative societies is preferred.
