About the Role:


Key Responsibilities:


The main responsibility will be to ensure you are maintaining entities compliant in multiple jurisdictions across Canada while adhering to tight deadlines.


  • Manage multiple clients with transactional and corporate governance work;
  • Deal with compliance queries and general entity management requests, on a day to day basis from clients, auditors and internal staff;
  • Maintaining and updating Corporate Minute Books in different jurisdictions;
  • Organizing and attending board committee and general meetings and producing resolutions, minutes;
  • Draft resolutions for the Annual General Meeting as per different jurisdictions;
  • Ensuring all Companies Act filings and registrations are made in a timely and accurate manner for the client entities;
  • Assisting with entity incorporations and extra provincial registrations and business names;
  • To work simultaneously with various entity and file management platforms.
  • Assist with the opening bank accounts

Job specific competencies

  • Minimum 2 to 5 years of experience as a Corporate Legal Secretary or similar position gained in a legal environment;
  • Extensive legal document drafting experience;
  • Fluent in English, both written and spoken;
  • Exceptional proofreading is required to ensure the accuracy of the documents and correspondence;
  • Detailoriented, analytical, flexible, and able to adjust to changing work demands;
  • Experience working on cross functional teams in a highly matrixed environment.
  • Strong organizational and time management skills;
  • Ability to form relationships with clients and create confidence;
  • Analytical
, flexible and able to effectively prioritize workload;

  • Selfmotivated and able to work both independently and as part of a team;
  • Thrives under pressure and is result oriented;
  • Experience with Trust and cooperative societies is preferred.
