POSITION OVERVIEW
Senstar has a new opportunity for a Legal Contracts Counsel interested in working 2 days per week.

As part of a public company, the Contracts Counsel will work to ensure compliance on a global basis and in conjunction with our international subsidiaries and partners located in North America, EMEA, APAC, and LATAM to provide legal guidance, review and negotiate international contracts; provide legal analysis of risks; and related advice to address, manage and mitigate risks and where necessary or appropriate coordinate external legal advice.

The work requires sound international contract law experience. Previous experience with employment law, entity registrations, professional services, technology and software licenses would be a definite asset.

Our Contracts Counsel will also be well versed in the requirements of operating within a public entity and a familiarity with working within an international business operation.


KEY RESPONSIBILITIES

  • Advise global, crossfunctional teams on a realtime basis of legal risks associated with proposed projects or contracts, including what legal and regulatory issues need to be addressed early in the process and with an appropriate balance of risk mitigation and business interests
  • Draft and negotiate contracts with third parties (business registrations, master service agreements, employment agreements, professional services agreements, NDAs and covenants, outsourcing agreements, technology services agreements, system implementation agreements, hosting agreements, software as a service agreements) to address the risks identified and levels of performance required from the third party
  • When negotiating an agreement with implications beyond Canada, consult with external, regionally based legal counsel to explain the objective of the activity, the data or personnel that will be impacted, how risks will be mitigated and managed; and to address any remaining local issues that may be of relevance to employment, business operations or otherwise
  • Escalate any contractual provisions that may have cause for concern together with proposed solutions to mitigate risks identified
  • Work to make all contractual documents compliant with Senstar's policies and/or work to understand the impact any legal or legislative changes may have on our policies, organizational structure, or processes
  • Work independently, with limited direction, and draw upon extensive knowledge and experience to deliver quality risk management
  • Draft, develop, negotiate, execute, and administer contracts with clients, system integrators

YOU BRING TO THE ROLE

  • 510 years contract law within a law firm or a corporate legal department together with a LLB/JD from an accredited institution
  • Proven expertise in negotiation techniques, contract law, contract drafting, and licensing
  • Ability to assess, size and scope of contemplated transactions and to tailor contracts and negotiation efforts accordingly
  • An aptitude for making decisions based on extensive analysis and interpretation, including with intangible factors and able to understand, accurately articulate and document complex transactions
  • Relevant international experience would be a definite asset
  • Welldeveloped interpersonal, client relationship and negotiating skills
  • Excellent organizational skills; demonstrated ability to create, plan and successfully execute projects while juggling multiple deadlines in a fastpaced environment
  • Superior verbal and written communication skills with the ability to interface and communicate effectively and diplomatically with all levels
  • Work well independently with limited supervision and comfortable proceeding based on general guidance and direction rather than clearly laid out direction
  • Proficient use of computer, software, and peripheral equipment, i.e., MS Office, MS Mail/Outlook
