    JOB DESCRIPTION

    Our Montreal office is currently seeking a mid-level paralegal for its corporate law team, specifically in the business services group. We are looking for a professional and reliable individual, capable of juggling multiple tasks simultaneously and adapting easily to an environment where priorities are constantly shifting. To excel in this role, you must be an organized person focused on client satisfaction, both internally and externally. You must strictly respect the confidentiality of files at all times and be recognized for providing top-notch services. We are seeking someone who can work efficiently in a multitasking mode, has great attention to detail, and is not afraid to embrace new technologies.

    Key Tasks and Responsibilities

    • Assist lawyers and clients in various operations, including mergers and acquisitions, equity financings, and corporate reorganizations (planning, drafting, and monitoring).
    • Prepare documents related to the incorporation, organization, modification, extension, amalgamation, extra-provincial registration, dissolution, and reorganization of corporations and other legal entities, including aspects related to tax reorganizations and the purchase of shares or assets.
    • Prepare filing records (including annual filings and resolutions) for Quebec and federal entities and meet deadlines related to maintaining the minute books under your responsibility.
    • Prepare and coordinate extra-provincial annual filings and renewals for corporations, companies, NGOs, partnerships, and limited partnerships across Canada.
    • Conduct electronic filings of annual returns and notices for Quebec and federal entities, including compliance notices with new business transparency regulations (e.g., declaration of information regarding individuals with significant control or ultimate beneficial owners).
    • Manage and update the corporate database and electronic minute books under your responsibility.
    • Communicate with clients, as needed.
    • Participate in special projects in response to firm initiatives.
    • Perform any other tasks assigned.

    Required Knowledge and Experience

    • 3 to 7 years of experience in a business services team.
    • Excellent writing skills in French and English.
    • Excellent communication skills in French and English, both verbally and in writing.
    • College diploma in legal techniques or related field.
    • Knowledge of legal procedures, statutes, and regulations applicable to commercial and corporate law.
    • High accuracy and attention to detail, strong time management skills.
    • Strong interpersonal skills and ability to work directly with clients professionally.
    • Ability to communicate clearly and precisely.
    • Team-oriented approach and support for colleagues.
    • Ability to work in a fast-paced environment and manage multiple priorities to meet deadlines.
    • Advanced computer knowledge; proficiency in Microsoft Word, Outlook, and Excel.
    • Proficiency in Athennian is an asset.

    Please note that due to the responsibilities of the position, a competent level of English is required, especially for daily communication with employees, managers, and executives outside Quebec. In addition, the position's responsibilities include writing and analyzing legal documents in English, as well as making recommendations.
