Reporting to the Chief Legal Officer, the Associate General Counsel will provide legal guidance and support to all global internal departments, by providing expert counsel on a wide array of legal issues directly pertaining to the organization and the cybersecurity industry.


In this role, you will provide expert guidance and opinions on operational and employment practices and will ensure compliance with all applicable legislation.

You will advise and act as an advocate for the organization and represent the organization before customers, vendors, regulators, and external counsel.


The Associate General Counsel will further be responsible for the preparation and/or review of legal and corporate documentation, commercial contracts, policies, communications, press releases, and other legal and non-legal documents.


Responsibilities:


  • Provide legal services to the organization while ensuring compliance to applicable legislation and undertaking risk management.
  • Draft and review legal commercial contracts, corporate documents, communications, press releases, and other legal and nonlegal documents.
  • Provide legal advice and counsel for the various aspects of the organization's operations as required.
  • Keep abreast of changes in applicable legislation pertaining to industry, employment, and reporting to senior leadership as necessary.
  • Manage the legal review process including during the rollout of new products and in cooperation with multiple stakeholders.
  • Liaise regularly with department heads and various stakeholders to support operational compliance.

Requirements:


  • Admission to at least one Canadian provincial bar.
  • 5+ years of experience in a corporate legal setting in the tech sector.
  • 3+ years of experience negotiating complex technology commercial agreements.
  • Familiarity with M&A activity and the ability to support integration activities.
  • Excellent communication and drafting skills.
  • Excellent analytical skills.
  • Comfortable working with and advising executive leadership.
  • Thorough understanding of legal issues in the technology sector and applicable legislation.
