Manager, Legal & Regulatory Affairs

DESCRIPTION:


Reporting to the VP, Finance and Business Strategy the Manager, Legal & Regulatory Affairs provides day-to-day risk management services to the organization including the management of corporate legal matters, expertise to the business in contract development and review, ensures risk and corporate insurance programs are properly managed, and responds to various internal and external inquiries as necessary.

This is a hybrid work position (flexible to work remotely and be in office at least 2 days per week) that is based out of Guelph and supports Sleeman Breweries nationally.

This position has 2 direct reports.


Key Responsibilities:
Corporate Law- Manage corporate legal matters by acting as the primary internal point of contact for related matters, recommending corporate legal strategy in consultation with counsel and internal stakeholders, responding to inquiries from external counsel and internal clients, and organizing and providing documentation or other materials as necessary.- Establish and maintain corporate legal structure documentation (e.g. articles of incorporation,) as necessary to ensure compliance and ability to transact business including filing and maintaining various licensing and permits to operate within each jurisdiction.- Maintain national corporate regulatory compliance for the organization including oversight of permits, packaging, labeling, trade names, etc. to ensure compliance- Ensure corporate intellectual property assets, including new registrations, are properly protected and maintained in consultation with legal counsel- Act as liaison between business leadership and legal counsel

Contracts Review contractual agreements to identify, assess, and document risks and obligations- Coordinate with legal counsel on revisions of contractual agreements and participate in negotiations as required- Manage the proper and timely administration of contracts, including changes, to ensure compliance with company policies, legal and statutory requirements, insurance policies and customer specifications- Research and develop innovative improvements to contracting processes that create value and mitigate risk for the organization- Manage contract with US co-packers ensuring terms are being met


Risk & Insurance Programs- Ensure corporate physical assets and personal injury liability risks are properly insured and the organization has adequate coverage in consultation with brokers- Manage the corporate insurance program and any related claims (e.g., business interruption insurance).- Manage all fleet insurance requirements including resolving any related claims.- Work closely with insurance adjusters in the resolution of claims- Lead the review of lease agreements and related revisions (including lease terminations, lease hold improvements) to identify, assess and document risk and obligations.


Innovation & Strategic Projects- Partner with marketing team to provide risk and licencing feedback, support and guidance for new innovations currently in progress or to come.

- Partner with IT and internal key stakeholders to help implement and execute compliance projects- Main point of contact for licensing, brand and trademark related initiatives


Requirements:


  • Postsecondary education in related field such as a Law or Business Administration
  • Minimum 7 years of experience in a related role
  • Strong understanding of provincial variances in alcohol and beverage regulations and compliance requirements considered an asset
  • Selfmotivated with ability to work independently and focus on continuous improvement
  • Ability to adapt quickly to a changing work environment
  • Ability to work well within tight deadlines
  • Demonstrated ability to establish effective working relationships with
