CONFLICTS COUNSEL, GENERAL COUNSEL'S OFFICE
Fasken has an opportunity for an experienced legal professional to join its General Counsel's Office team.

The General Counsel's Office is responsible for managing Fasken's legal risks and compliance, including governance and other enterprise risks, professional liability and client/matter intake including conflicts.


Reporting to the Associate General Counsel, Risk and Compliance, the Conflicts Counsel is primarily responsible for identifying and resolving complex conflict of interest matters for the Firm, conflicts of interest related to all new and lateral hires to the Firm, overseeing ethical walls and client verification processes, and reviewing client commitment documents (engagement letters and outside counsel guidelines).

The position will work closely with Conflicts Analysts, Compliance Partners, Firm lawyers and other levels of Firm administration as well as other members of the Legal Risk & Compliance team (General Counsel's Office) to facilitate resolution of conflicts of interest and business sensitivity issues.

Conflicts Counsel, while not necessarily having direct supervisory responsibilities, will have authority to delegate tasks within the department to ensure a comprehensive and effective client intake process, and will work closely with the Associate General Counsel, Risk and Compliance to ensure the Firm adopts best practices in the client intake process to support the Firm's business and strategic goals while mitigating risk.


Qualifications Required:


  • B., BCL or J.D. required.
  • Must be a member in good standing of the Law Society of Alberta, British Columbia, Ontario or the Barreau du Québec.
  • Minimum of 3 years of legal experience, preferably at a large law firm, with senior experience in conflicts researching and analysis preferred.
  • Substantive familiarity with provincial Rules of Professional Conduct and applicable case law, including client identification and verification requirements for legal professionals.
  • Proficiency with Intapp Open business intake and onboarding software preferred.
  • Proficiency in English and French preferred.

A Day In the Life

  • Timely identification and resolution of complex conflict of interest issues in the intake of new business and the hiring of new employees or lateral lawyers or partners.
  • Develop and maintain substantive knowledge of and familiarity with: (a) legal ethics, conflicts, compliance and professional responsibility rules applicable in the Firm's jurisdictions of practice and (b) the Firm's procedures, policies, practices and processes relating to client intake/conflicts.
  • Work with Conflicts Analysts, Compliance Partners, Firm lawyers and other levels of Firm administration as well as other members of the Legal Risk & Compliance team to obtain relevant conflict information and make determinations on conflicts issues.
  • Assist in developing policies and procedures for identifying and resolving potential legal and business conflicts of interest in a manner that facilitates Firm growth while mitigating risk.
  • Develop conflict search processes and strategies with the Legal Risk & Compliance team.
  • Draft and review conflicts reports, waivers and modifications to engagement letters as needed.
  • Assist with the conflicts clearance process for highly sensitive or confidential matters.
  • Facilitate the seeking and reviewing of conflict consents from clients as required.
  • Assist with the maintenance and update of the business intake and onboarding solution, including the implementation and monitoring of ethical walls.
  • Perform legal research and analysis as required.
  • Provide guidance, information, training regarding internal compliance policies, processes and procedural changes to Firm members.
