Duties and Responsibilities:

  • Orders and reviews preliminary and full NUANS reports
  • Prepares corporate documents for corporate financings
  • Prepares annual resolutions/minutes of meetings for corporations
  • Prepares resolutions for dividends, bonuses and special resolutions
  • Organizes new corporations and completes all registers in minute book
  • Files business name registrations and renewals
  • Completes and files Form 1 with Ministry when changes of registered office, directors or officers
  • Prepares annual returns
  • Prepares Articles of Incorporation, Articles of Amendment, Continuance, Amalgamation, Dissolution
  • Drafts asset purchase/sale documents, share purchase/sale agreements and all related documents including Closing Agendas
  • Orders all corporate searches, including Certificate of Status, Corporate Profiles, PPSA searches and prepares PPSA registrations and filing of same
  • Communicating with clients and initiating followup as required
  • Managing transactions while tracking while communicating effectively and in a professional and timely manner with clients, lawyers and other parties in order to adhering to transaction deadlines
  • Preparation of disbursement statements and draft accounts;

Requirements:


  • Minimum 12 years' experience working as a corporate law clerk at a large or boutique law firm
  • Law Clerk Diploma from an accredited Ontario college
  • Knowledge of procedures of incorporation and organization of companies and partnerships
  • Knowledge of the Business Corporations Act (Ontario), Canada Business Corporations Act, Limited Partnerships Act (Ontario) and Corporations Information Act
  • Experience with minute books review and rectification of deficiencies
  • Selfstarter, highly organized and exceptional attention to detail
  • Professional and able to work independently and juggle competing priorities in a fastpaced environment
  • Strong communication (verbal and written) and interpersonal skills
  • Strong knowledge of Microsoft Office, including Word, Excel, PowerPoint and Outlook
  • Knowledge of corporate entity data management systems is an asset.
