Our outstanding client, a leader in its field, with offices in Oakville, Ontario is in need of a Senior Corporate Law Clerk to join its team.


In this role you will work alongside the small legal team, on a broad range of corporate commercial legal and compliance matters.


This client offers the flexibility to work from home up to 3 ays a week and may require some travel between the Oakville and downtown Toronto office.


Key Duties and Responsibilities:

Corporate Duties:
Perform all aspects of entity formation (corporations, general partnerships, limited partnerships), registration and organization in Ontario; liaise with agents for extraprovincial registrations, annual returns, renewals, and similar matters; liaise with external law firms for all aspects of entity formation, registration and organization in jurisdictions outside of Ontario (e.g., USA) Perform corporate law clerk functions relating to filing amendments and amalgamations in Ontario Maintain minute books and corporate entity database (Athennian) from formation through dissolution including drafting resolutions, documents and filings for annual resolutions and proceedings Conducting due diligence and minute book reviews, preparing reports that outline issues and deficiencies and drafting required document updates Assist with corporate transactions and reorganizations, including coordinating with internal deal teams and internal and external legal counsel on closings, as well as updating minute book records with documents from closing books post transaction Draft legalentity organizational charts (PowerPoint) Assist with organizing and maintaining electronic legal files (SharePoint) Assist finance teams with KYC requests and requirements Assist with corporate compliance and regulatory filings Assist with drafting documentation relating to share redemptions and transfers and transfers of partnership interests Assist with drafting purchase agreements and nominee agreements Review and comment on simple legal contracts (e.g., vendor and supplier contracts; engagement letters; NDAs; partnership agreements) Assist with board materials, taking meeting minutes, tracking action items Provide general support to the internal legal team and others, as required Provide guidance, supervision and mentorship to junior law clerks, assistants, and students Research corporate law matters, as required Administrative Support:
  • General administrative duties, including but not limited to, drafting correspondence, filing, photocopying, document/book production, processing of various invoices

  • Key Qualifications
  • Paralegal or Law Clerk diploma (or equivalent education or work experience)
ILCO membership in good standing with the Institute of Law Clerks of Ontario years of corporate law experience in a law firm Key Competencies Ability to independently draft complex resolutions, closing documents Ability to handle and manage the maintenance of corporate minute books Comfortable reviewing and understanding legal contracts Knowledge of Athennian platform would be an asset Knowledge of Oncorp, the new Ontario Business Registry, Industry Canada online filing system Familiarity with reading, interpreting, and using legalentity organizational charts Experience with Microsoft Office, particularly Word and Excel Strong communication and organizational skills Selfmotivated and takes initiative Detail oriented with strong proofreading skills Ability to prioritize and multitask in a dynamic fastpaced environment Strong client focus Excellent interpersonal skills Knowledge and / or real estate experience would be an asset Come join a team of congenial professionals that work as a team.
