Board Operations Lead contributes to the overall success of the Corporate Governance Office (CGO) and Corporate Secretary's Department ensuring specific individual goals, plans, initiatives are executed / delivered in support of the team's business strategies and objectives.

Ensures all activities conducted are in compliance with governing regulations, internal policies and procedures.

Responsible for initiating and driving consistent and effective board operation practices, reporting and controls, domestically and internationally, and assist in strengthening the integrity of the corporate governance framework globally.


Is this role right for you? In this role you will:

  • Leads and drives a customer-focused culture throughout their team to deepen client relationships and leverage broader Bank relationships, systems and knowledge.
  • Oversees and implements appropriate corporate governance strategies, practices, processes and policies across the Bank's subsidiaries enterprisewide that align with the expectations of the CGO.
  • Provides functional support to the Bank's global corporate secretaries for Board and Committee meetings both domestically and internationally, as applicable, by providing counsel on core Board operational matters including, meeting organization, Board and Committee agendas and materials, resolutions, minutes and key Board processes (annual assessments, succession planning, orientation and continuing education, etc.), in line with global CGO standards and expectations.
  • Oversees and supports the policies and procedures for secure collection, distribution and retention of Board related materials, director information and Board communications, in compliance with the Bank's Records Management policies and procedures and considering department requirements, including procedures for internal and external reviews.
  • Oversees the Bank's subsidiary governance structures by:
  • Providing support to international and domestic subsidiaries on matters under the Scotiabank Subsidiary Governance Policy;
  • Providing corporate secretarial advice and counsel to domestic and international corporate secretaries with a view to achieving better uniformity in board practices and operations.
  • Oversees the administration of governance related matters ensuring:
  • Collection and maintenance of up-to-date documentation on each subsidiary governance framework, including coordinating non-routine regulatory filings where required;
  • Establishment of processes that support efficient management of governance matters, including issue escalation and attestation processes to support the sustainment of strong governance practices.
  • May serve as Corporate Secretary to Bank subsidiaries, providing full corporate secretariat services and counsel to support business strategies, plans, and initiatives in compliance with the relevant acts, governance policies, corporate policies and procedures and other obligations.
  • Providing reports and information to the Senior Vice President, Corporate Secretary and Chief Corporate Governance Officer and Senior Legal Counsel, Corporate Governance Office on subsidiary corporate governance, including reports to the Board of Directors;
  • Oversees and supports Compliance Management processes and initiatives with respect to subsidiary corporate governance, including coordinating international corporate secretaries.
  • Understand how the Bank's risk appetite and risk culture should be considered in daytoday activities and decisions.
  • Actively pursues effective and efficient operations of his/her respective areas, while ensuring the adequacy, adherence to and effectiveness of daytoday business controls to meet obligations with respect to operational risk, regulatory compliance risk, AML/ATF risk and conduct risk, including but not limited to responsibilities under the Operational Risk Management Framework, Regulatory Compliance Risk Management Framework, AML/ATF Global Handbook and the Guidelines for Business Conduct.
  • Builds a high performance environment and implements a people strategy that attracts, retains, develops and motivates their team by fostering an inclusive work environment and using a coaching mindset and behaviours; communicating vison/values/business strategy; and, managing succession and development planning for the team

Do you have the skills that will enable you to succeed in this role? We'd love to work with you if you have:

  • Law Clerk or JD or LLB from a recognized law school with minimum five (5) years + practical in-house or private practice experience
  • Significant corporate governance and corporate secretarial experience, working in a company with international operations
  • Knowledgeable about banking, corporate and securities laws and regulatory requirements in Canada applicable to financial institutions, with
