Description

We are seeking an experienced attorney to support all legal activities across the organization, including complex contract negotiation, corporate governance, international matters and employment matters, with a strong focus on the operations of our Canadian subsidiary.

The Corporate Counsel will have the opportunity to support developing processes and infrastructure, and work with the General Counsel and external counsel while reducing reliance on outside counsel.

Legal and compliance partners with all departments across the business to help them meet their business objectives while protecting the company.


Essential Responsibilities:


  • Support the full suite of legal work, including legal structure management, contracting, fundraising, corporate governance, compliance, intellectual property, and employment matters. This will include assisting in the selection and management of outside legal advisors.
  • Drafting, reviewing, and negotiating a wide range of contracts in support of product development, operations, and commercialization.
  • Advising on and supporting international expansion efforts.
  • Stay abreast of all business development matters and take lead on addressing legal liabilities or potential legal liabilities Support major corporate, debt and financing transactions.
  • Advise on companycritical legal, compliance, competitive and riskbalancing issues.
  • Support the continuous improvement of standard form agreements and legal processes.

Requirements:


Education & Experience Requirements:


  • Law degree from competitive law school.
  • Admitted to the bar in a Canadian province (additionally, bar admission in at least one U.S. state. Preferred).
  • Minimum of 4 years of experience, at least 3 years of which was in a large law firm or inhouse. Some U.S. experience is preferred.
  • Resultsdriven, proactive, detailoriented, and wellorganized.
  • High intellectual strength, analytical ability and curiosity.
  • Concise, effective written and verbal communication.
  • Highlevel understanding of financial, business and strategic matters.
  • Strong interpersonal skills, across all organizational levels.
  • Ability to thrive in a fastpaced, dynamic environment.
  • High levels of personal drive, initiative and confidence.
