The opportunity


Our Business Law Services practice draws on EY's vast global legal network to support our clients in navigating the complexities of today's business environment.

The Business Law Services practice assists on a wide range of commercial law issues in numerous industries.

Our team provides corporate and partnership law advisory services, including corporate re-organizations, mergers and acquisitions, financings, joint ventures, transfer pricing, drafting commercial contracts and drafting employment policies and procedures.


Your key responsibilities

  • Drafting, reviewing and analyzing corporate commercial contracts, including but not limited to service agreements, joint operating agreements, participating agreements and other agreements necessary to conduct operations
  • Advising and participating in the review of legal corporate commercial matters including contract disputes, operating agreements, corporate reorganizations, acquisitions and divestitures including due diligence
  • Collaborating with various EY practices including our People Advisory Services practice and our Global Network for corporate law related work
  • Reviewing new business relationships with vendors and subcontractors
  • Business development

Skills and attributes for success

  • A valid license to practice law in a Canadian province
  • 48 years post qualification experience including
- direct experience, practicing commercial law with experience from a reputable law firm or
- in-house experience with demonstrated commercial law experience

  • Demonstrated proficiency in a broad range of corporate commercial activities, namely
  • M&A transactional experience (both private and public companies)
  • Corporate reorganizations and restructuring transactions
  • Superior drafting skills and experience drafting documents such as
  • Shareholder agreements
  • Agreement of Purchase and Sale
  • Credit Agreements
  • Corporate Resolutions
  • Demonstrated knowledge and experience successfully negotiating contentious agreements with opposing counsel and counterparties
  • A resultsdriven approach to the practice and business of law, with an emphasis on practical advice
  • A desire to work in multidisciplinary groups, build strong professional relationships with colleagues and clients and a demonstrated track record of collaboration
  • Experience and an understanding the of the emerging global market for Legal Managed Services (LMS) as well as knowledge of the emerging technology and LegalTech solutions available to facilitate LMS
  • Experience in managing multiple concurrent engagements
  • A superior attention to detail
  • A high commitment to delivering services on time and on budget

Ideally, you'll also have

  • Experience with tax structured reorganizations
  • Bilingual English and French is an asset
  • Experience in both common and civil law is an asset
