Position Description:
The Paralegal has a key role in providing support to the Legal Counsel, Corporate Secretary and other senior management of the Company.
This role works with the legal team to support the coordination and facilitation of the activities of Board of Directors and various Committees, manage the filing and maintenance of key company policy documents, contracts, corporate records and the Company's long-term incentive plans.
Primary Responsibilities:
- Maintain corporate records and minute books of the Company and its subsidiaries
- Complete continuous disclosure filings in a timely manner as required by the applicable stock exchange policies and securities legislations
- Coordinate the administration of the Company and its affiliates longterm incentive plans with the Accounting team and maintain records of grants, exercise and cancellations of options and other share based awards
- Liaise with the Company's transfer agent and prepare treasury orders and other related duties
- Assist in the coordination of the Annual General and Special Meetings of the Company, including the preparation of the information circulars and supporting documents
- Prepare data for annual information forms and other disclosure documents
- Attend to various SEDAR and EDGAR filings
- Perform other duties as assigned
Requirements:
- Paralegal certificate from a recognized paralegal program
- Minimum five years of experience in corporate, securities, or other capacities in a law firm or inhouse at a publicly traded company
- Experience or training in corporate governance
- Knowledge of SEDAR, SEDI, TMX Linx, and BC Online
- Excellent organizational skills and attention to accuracy, detail, and deadline driven
- Strong analytical, written and verbal communication skills
- Ability to work with different cultures across different time zones
- Strong capabilities with Microsoft Suite
Additional Desired Qualifications:
- Prior experience in a publicly traded mining company is an asset
- Spanish language ability considered a strong asset
