Description
The Head of Accountability & Governance position supports the organization to shape TLC's corporate strategy and corporate governance.

Reporting to the CEO and as a member of the Senior Leadership Team, the position plays a key role in working with the CEO and cross-functional leaders to lead and manage TLC's policy, governance and compliance function to ensure corporate and organizational accountability and deliver on TLC's mandate.

This position also fulfils the role of TLC's Corporate Secretary, leading and managing the Board governance function.


This is contract position for up to 12 months replacing an employee on Maternity/Parental Leave.

What you will do:


Strategic Leadership (50%)

  • Works with the Senior Leadership Team to develop and implement the organizations strategy, assess business gaps, identify opportunities and threats against strategic and corporate plans, propose mitigation strategies and executes priorities
  • Drives corporate policy, policy and procedure development, ongoing review and directs on implementation and communication of all TLC policies and procedures
  • Drives organizational efficiency, effectiveness, compliance and risk mitigation through the development, implementation and management of an integrated enterprise risk management framework, key performance indicators (KPI's) and the Balanced Score Card (BSC)
  • Provides effective management of TLC's Board governance function including:
  • Promotes effective working relationships and atmosphere of cooperation between CEO, Senior Leadership Team and the governing body
  • Ensures effective and efficient operations relating to Board and committee meetings of the TLC
  • Oversees the execution of the TLC Corporate and Board governance process
  • Coordinates activities related to the TLC Board Directors and director relations
  • Anticipate contentious political situations, provide advice and coordinate appropriate responses
  • Liaises with TDSB's corporate governance team
  • Remains current with industry trends and best practices
  • Provides advice, guidance and support to the CEO on alignment with the Shareholder's Direction, procedural compliance, organization development, best practices and legislative requirements

Operational Leadership (50%)

Corporate Compliance:


  • Manages all Corporate compliance matters including:
  • coordinating department budgets based on TLC's corporate deliverables
  • Manage department budget and ensuring appropriate level of service is provided within budget and scope
  • Leads organizational procurement and accountability
  • Leads yearend financial activities and annual audit review
  • Establishes organizational risk tolerance and assessment against TLC's key objectives
  • Establishes and promote consistent practices and procedures and identify opportunities for automation and enhanced timely reporting
  • Prepares reports and speaking notes for the TLC Board of Directors as required, on corporate, policy and financial matters and metrics in conjunction with the CEO.

Records Management:


  • Leads the implementation and maintenance of TLC's records management system
  • Develops, implements and coaches on managing records, including the records classification system and retention schedule
  • Coordinates and ensures procedures are uptodate and implemented in a uniform manner across the system
  • Responsible and accountable for maintaining security, integrity, and availability of institutional recorded information within the Board

Team Leadership and Engagement:


  • Provides effective leadership and guidance to ensure a highly engaged & productive team
  • Sets goals and commitments aligned with the organizations annual plan and longerterm strategy; ensures individual/team goal alignment and measures, monitors and conducts performance evaluations
  • Regularly coaches and provides feedback to team members to enable them to grow, thrive and reach their full potential
  • Ensures effective deployment of resources within budget and establishes operational timelines
  • Celebrates successes by recognizing the contributions and achievements of team members
  • Role models TLC's organizational culture, values and behaviours

Requirements:


What you will have:


  • University Degree in Public Administration, Political Science, Public Policy, Business, Finance, Commerce with a minimum of eight (8) years of progressive work experience including four (4) years' experience in a leadership role working in the public and/or private sector experience, and experience as a Corporate Secretary or an equivalent combination of education and experience
  • Knowledge and experience executing Rules of Order
  • Knowledge and understanding of the legal system and how it affects business including requirements in the Ontario Business Corporation Act, Employment Standards Act, Education Act, and relevant policies and procedures
  • Demonstrated ability to handle matters requiring high levels of diplomacy, sensitivity and conf
