    Description

    Reporting to the Chief Financial Officer, Corporate Counsel will provide counsel, guidance and stewardship for the company's business. Corporate Counsel is responsible for working closely with operational teams and management, navigating the evolving legal framework and helping to ensure that the company's commercial agreements, operational practices and corporate governance processes function to achieve the business objectives of the company, and to mitigate corporate risk and the potential for non- compliance with applicable laws, regulations and internal policies. This position coordinates and provides advice to the company's board of directors to assist the directors in discharging their fiduciary duties in accordance with applicable laws and to ensure required reporting and approvals are provided and obtained.

    Duties and Responsibilities:

  • Providing legal counsel on a wide range of corporate, commercial, employment, intellectual property and matters for management and internal business units.
  • Negotiating, drafting and interpreting commercial agreements across the organization, including for asset purchase/sales, financing transactions and/or M&A transactions.
  • Creating and modifying precedent agreements and the overseeing the development of local templates, policies and procedures.
  • Advising and coaching internal team on legislative or common law developments and their impact on the business.
  • Providing legal advice and oversight with respect to applicable legal requirements, internal policies and procedures, and compliance with the same.
  • Managing regulatory and litigation proceedings.
  • Directing external legal counsel on corporate and litigation matters.
  • Proactively identifying and managing legal risks and provide advice on general corporate governance matters.
  • Fulfilling all corporate secretarial duties for the company and its US subsidiary.
  • Qualifications:

  • LLB/JD degree required.
  • 6-10 years of experience in a corporate legal function or law firm.
  • Experience in drafting / advising on construction related contracts, lease agreements, supplier agreements and NDAs.
  • Exposure to US operations as well as Canadian operations is an asset.
  • Ability to provide practical advice, analyze risk and promote business decisions which are sensitive to the business environment.
  • Strong interpersonal, conflict management and decision-making skills.
  • Ability to organize and manage priorities of self and reports.
  • High ability to negotiate, influence, collaborate and build strong working relationships with partners and stakeholders.
  • Excellent verbal/written communication skills in English.
  • Strong problem solving and decision-making ability.
  • Excellent organizational and analytical skills.
  • Strong leadership along with the ability to managing diverse teams well.
  • Public company experience and familiarity with Canada listing and SEC registrant requirements.
