Description
The Commercial Corporate Counsel serves as a primary member of S&C's corporate counsel team. This role is responsible for offering crucial counsel to internal teams across the organization's global operations.

The primary responsibilities include providing practical advice to achieve business objectives while minimizing risk, supporting commercial document review, ensuring adherence to legal requirements within S&C's Ethics and Compliance Program, and contributing to legal and compliance training initiatives.


Duties & Responsibilities:

Legal Guidance on Commercial Matters: Collaborate closely with S&C's Legal and Compliance personnel, offering accurate and timely legal advice and counseling on general corporate legal matters spanning the entire business operation.

Commercial Team Support and Document Review: Partner with S&C Associate General Counsel to support the Commercial Team by actively drafting and meticulously reviewing a diverse range of commercial documents, including non-disclosure agreements, supplier agreements, sales terms, and other contractual requirements.

Litigation & Compliance Suppor t: Partner with S&C Associate General Counsel to manage litigation and dispute resolution matters, while also providing crucial support for commercial transactions and addressing regulatory and compliance issues within the scope of S&C's operations.

Legal Research: Conduct comprehensive legal research on various topics to stay abreast of legal developments, providing informed recommendations for decision-making processes within the organization.

Organizational Support: Provide training in commercial legal issues to key members of the organization with the goal of ensuring a thorough understanding of compliance requirements. Report and design solutions for suspected compliance issues and partner with appropriate senior leaders for immediate resolution

Communication with Executive Leadership: Maintain open and effective communication channels with executive leadership, providing regular updates on key legal matters, case developments, and potential impacts on the organization.

Continual Learning and Development: Stay abreast on changes in laws and regulations relevant to the industry, adapting legal strategies and advice accordingly to ensure S&C's ongoing compliance and risk mitigation.

Budget Management: Develop and manage project budgets, ensuring accuracy and appropriate allocation of resources to meet the organization's commercial counsel needs.

Company Compliance: Understand and comply with all applicable company policies and rules.


Minimum Requirements:


  • Bachelors of Laws (LLB) of J.D Degree.
  • Lawyer licensed to practice in any Canadian province. Licensed to practice in Ontario is an added advantage.
  • 7+ years of demonstrated legal experience in commercial law through inhouse or experience in a law firm.
  • Strong legal background with expertise in corporate and commercial law, enabling the ability to provide accurate and strategic legal advice in various business contexts.
  • Sound understanding of commercial transactions, including the ability to draft, review, and negotiate contracts and agreements, ensuring the legal aspects align with the organization's commercial objectives.
  • Strong understanding of regulatory frameworks and compliance requirements relevant to the S&C, with the capability to address regulatory and compliance issues arising within the organization's operations.
  • Proven ability to think strategically and align legal counsel with the overall business objectives of an organization.
  • Excellent project management skills, with the ability to juggle multiple priorities for multiple different client groups. and deliver on stated commitments.
  • Exceptional interpersonal skills to establish meaningful relationships built on mutual trust and respect, navigate and resolve conflict, moderate behaviors, and foster collaborative working relationships amongst a diverse audience.
  • Strong communication skills (written, verbal, listening, and presentation); able to liaise with internal and external stakeholders at all levels, from senior executives to support staff, and present compellingly to achieve buyin from executives, managers, and team members.
  • Excellent business acumen and analytical skills with the ability to use and analyze data to drive informed decisions, problemsolve complex issues, and leverage data and learnings to drive continuous improvement.
  • Ability to travel as required.
