Purpose of Position:


This position will be responsible for the ongoing management of the contract database, minute book governance, annual State filings, and coordination of bid proposals.

The Commercial Contracts and Proposal Administrator will also review, draft, and negotiate standard sale and supply agreements (including both hardware and software), related service agreements, and reseller agreements.

In addition, the Commercial Contracts and Proposal Administrator will collaborate with all functional areas of the business; specifically, within the legal, finance, sales, R&D, professional services and product management departments to assist with the preparation of commercial proposals under the direction of the Director of Contract and Bid Management.

This role provides for a diverse range of administrative and analytical functions requiring independent judgment and the ability to juggle conflicting priorities, as well as having to manage and prioritize workload independently.


Responsibilities:


  • Preparation of standard commercial contracts, such as standard sale and supply agreements, reseller agreements, leases and nondisclosure agreements.
  • Administer and maintain contract management database
  • Contract review, analysis and drafting under supervision of the Director of Contract and Bid Management and/or legal counsel.
  • Collate information from various departments to produce proposal submissions.
  • Maintain Bid Tracker database and RFP repository
  • Efficiently manage a large volume and variety of transactions, while identifying issues for attorney support where appropriate
  • Work with sales, services, finance and support to move contracts through the presentation, negotiation and execution process.
  • Interface and negotiate directly with customers' procurement and contracting personnel.

Education/Qualifications/Skills:


  • Certificate/Degree from an accredited college or university
  • Paralegal certificate an asset
  • Ability to identify the legal and business issues, research and analyze complicated situations and develop practical solutions in an efficient manner
  • Ability to maintain a high level of responsiveness and service in handling the contracting process and other assignments as needed
  • Ability to present information effectively to clients, colleague and management
  • Strong negotiating skills
  • Strong organizational skills and ability to prioritize multiple tasks. Ability to work effectively in a fastpaced environment
  • Excellent written and verbal communication skills, outstanding proofreading skills and proficiency in Word, Excel, PowerPoint, and Agiloft
  • Ability to work independently with little supervision
  • Resultfocused; able to work in fastpaced, deadline oriented global environment for a rapidly growing company with high quality expectations
  • Selfstarter and independent/strategic thinker.

Experience:


  • Minimum 3 to 6 years relevant experience gained in a corporate legal department in commercial contracting and adminstration, preferably in a fastpaced, hightech environment
  • Experience working with multiple, global entities would be an asset
