Altus Group is currently seeking a Legal Counsel (Securities & M&A) to join its global legal team.

Reporting to the Associate General Counsel, Assistant Corporate Secretary, this role, based in Toronto, will focus on advising on securities and corporate governance matters, drafting agreements, assisting with board materials, ensuring legal compliance, managing M&A transactions, and evaluating corporate risks globally.


Key Responsibilities:


  • Advise on securities and corporate governance matters, including compliance with applicable securities and stock exchange requirements and draft and coordinate continuous disclosure filings.
  • Draft, negotiate and review corporate agreements, including NDAs, engagement letters and other transactional documents.
  • Draft and revise corporate policies and procedures to ensure legal and regulatory compliance.
  • Assist with legal aspects of public offerings, banking/credit facility matters, share buyback programs, equity compensation plans and other treasury matters.
  • Assist with reviewing and advising on earnings releases, preparing executive presentations, investor relations materials, news releases and employee communications.
  • Assist with legal analyses and documentation relating to intercompany agreements and corporate housekeeping matters.
  • Assist with M&A transactions, including acquisitions, divestitures and minority investments.
  • Assist the Legal Department on special projects and initiatives
  • Manage outside counsel involved in transactions and projects
  • Anticipating, identifying, and evaluating risk relating to corporate activities and strategies. Where required, provide general corporate/commercial legal advice to the business.

Key Requirements:


  • LL.B. or J.D. in good standing, called to the Bar of a Canadian province.
  • 35 years of legal experience, including practice at a leading law firm. Previous inhouse experience is an asset, but not required.
  • Strong knowledge of Canadian corporate and securities laws, rules and regulations.
  • Ability to think strategically and creatively, to identify and resolve legal issues.
  • Demonstrates exceptional attention to detail and communication skills, along with proficiency in project management, interpersonal relations, and organization. Capable of effectively managing multiple projects with varying deadlines and priorities.
  • Ability to work effectively both independently and collaboratively with business and legal personnel at all levels of the organization.
  • Ability to work across boundaries as part of a global team.
  • Solid business acumen and judgment, including the ability to set priorities, align plans and work effectively with multiple stakeholders to develop practical solutions for a broad range of legal and business problems.
