GENERAL SUMMARY:
We are searching for a motivated and detail-oriented Legal Counsel to join our in-house legal team.

Reporting to the General Counsel, the Legal Counsel will play a crucial role in providing legal support across various aspects of our business to ensure that our company complies with applicable laws, regulations, and contractual obligations across our international operations.

The Legal Counsel will work closely with stakeholders from various departments and regions to develop, implement, and maintain our commercial interests.

This role will be hybrid if based in Richmond, BC, Canada, or remote based in Calgary.


Key Deliverables and Responsibilities:


  • Preparation of

Legal Documents:

Draft and review a variety of legal documents, including but not limited to NDAs, and purchase and sale, SaaS, license, service, vendor, reseller, data access and employment agreements.


  • Due Diligence: Assist in conducting due diligence for new business partners, consultants, contractors, vendors using third party service provider.
  • Contract Negotiations: Engage in negotiations with external parties to ensure favourable terms and conditions in contracts and agreements.
  • Business Advisory: Provide legal insights and recommendations to business units and senior management to support informed decisionmaking and strategic planning.
  • Legal Compliance: Advise on legal and regulatory compliance matters, monitoring changes in relevant laws, regulations, and industry standards, and communicate updates to key stakeholders to ensure timely compliance adjustments; and draft and update policies and processes.
  • Employment Matters: Provide legal support and guidance on employmentrelated issues, including employee agreements, policies, terminations, and compliance with labor laws.
  • Legal Research: Conduct legal research on various matters, staying informed about changes in laws and regulations affecting the technology industry, and providing recommendations to the legal team and relevant stakeholders.
  • External Counsel: Work with external counsel for specialized expertise and support on complex legal matters; monitor and manage budget allocation to ensure costeffective utilization of resources while maintaining high quality legal support.
  • Risk Assessment: Identify and assessing legal risks associated with business activities, transactions, and contracts, and proposing strategies to minimize risk exposure.
  • Audit Support: Collaborate with stakeholders to prepare for ISO and internal audits; assist in preparation of responses to legal inquiries, providing documentation and evidence as requested.
  • Training and Awareness: Participate in training sessions and awareness programs to educate employees on legal compliance requirements.
Experience and Knowledge

  • LL.B. or J.D. from a recognized law school, with membership in good standing with Canadian Law Society.
  • Minimum 2 years of experience practicing law, preferably with experience in technology law or working inhouse with company.
  • Strong drafting and negotiation skills, with the ability to prepare and review complex legal documents accurately and efficiently.
  • Demonstrated proficiency in various areas of law relevant to company's operations, including contract law, corporate law, intellectual property and regulatory compliance.
  • Familiarity with employment law, data privacy laws, export control regulations, and other relevant legal frameworks.
  • Excellent communication skills, both verbal and written, with the ability to convey complex legal concepts clearly and effectively to nonlegal stakeholders.
  • Strong analytical and problemsolving skills, with a proactive and solutionoriented approach to legal issues.
  • Ability to work independently and collaboratively in a fastpaced environment, managing multiple priorities and deadlines effectively.
