    Description

    Forge Recruitment is partnered with our client, a boutique law firm, primarily focused in real estate and business law, in the search of the next Corporate Law Clerk to join their growing Corporate Services Group.

    Located in the heart of North York's business district, this client-service focused firm provides expert advice to some of the largest home and condominium developers nationally.

    Supporting two lawyers, the successful candidate will be responsible for the oversight of an entirely transactional corporate commercial practice:
    Prepare documentation related to corporate and real estate financings (especially borrower-side documents on large loan transactions)
    Prepare and file articles and corporate documentation, relating to routine and complex incorporation, amendments, continuances, amalgamations, dissolutions, changes in corporate structure and transactions governed by the Business Corporations Act (Ontario), and Canada Business Corporations Act
    Prepare documentation related to mergers, acquisitions, share/asset purchase and sale, and tax reorganizations (I.e., corporate structure chats, complex and multiple classes of shares, rollover, and share exchange documents, etc.)
    Routine minute book documentation (annual resolutions, changes of directors, officers, registered office address, dividends, share provisions, etc.)
    This is an in-office opportunity, with some flexibility to work from home.

    As the ideal candidate, you possess 4+ years' experience supporting a corporate commercial practice, gained within a law firm environment.

    You have successfully attained a legal administrative certificate, ILCO certification, or Law Clerk Diploma through an accredited institution. You possess superior computer skills (MS Office Suite, Fast Company, Adobe, etc.),
