Job Description:
Supporting the Mergers & Acquisitions (M&A), Due diligence, and Accounting teams internally through the accounting reconciliation process on M&A transactions.
Your main responsibilities:
- Accounting reconciliation of M&A transactions
- Obtain the required financial statement or valuation reports required as per the legal purchase and sale agreement.
- Perform bank reconciliations.
- Ensure assets that have been acquired by UAP are properly valued and recorded (for accounting and tax purposes) in our accounting system (PeopleSoft).
- Review financial statements from Target's external accountant to ensure numbers reported agree to the Legal agreement and any findings/adjustments that arose from due diligence
- Calculate the final purchase price payout
- Prepare the necessary journal entries resulting from the acquisition
- Operational due diligence integration
- Execute the tasks from the due diligence checklist.
- Obtain data required (financial records, contracts, agreements) for UAP functional teams to ensure a smooth post integration with UAP processes and follow up to minimize risk and communicate with Target.
- Ensure that a proper cutoff process is done and communicated to the Accounting team, and any adjustments are reconciled to the final statements or transaction payout schedule.
- Financial analysis (FP&A)
- Prepare, coordinate, and update various tracking reports for presentation to management
- Ad hoc reporting and presentation of financial data (actuals vs budgeted vs forecasts)
Qualifications:
To join our team, you will need:
- University degree (BAC) in Finance an asset; CPA designation or in process
- Preferably 13 years of relevant work experience; M&A transaction services experience an asset
- Advanced Excel skills
- Fluent in English and French as you will be working with colleagues and clients across Canada.
