    What We Are Looking For:

    We are looking for an enthusiastic junior Financial Services Law Clerk who will contribute to the overall excellent level of service provided to our clients. The successful candidate will possess excellent attention to detail and will work well under pressure and within tight deadlines. This is a good position if you are a self-starter, dedicated to the role and are a team player.

    Responsibilities:

  • Order, review and report on due diligence searches, including (Personal Property Security Act ("PPSA"), Uniform Commercial Code ("UCC"), and other corporate, lien and related searches
  • Under the supervision of a lawyer, assist with drafting closing agendas, officer's certificates, resolutions, PPSA/UCC search summary letters, reporting letters, notices of assignment of tax credits and PPSA estoppels
  • Liaise with borrower's counsel with regard to closing documentation
  • Prepare and register PPSA liens in the appropriate jurisdictions
  • Complete transaction record books
  • Update and maintain client forms and precedents

  • Requirements:

  • Minimum of two years experience gained as a Financial Services or Transactional Law Clerk
  • Successful completion of a post-secondary Law Clerk program
  • Familiarity with the PPSA and UCC or a willingness to learn
  • Membership in good standing with Institute of Law Clerks of Ontario
  • Flexibility to work outside regular business hours when required and/or necessary
  • Skills:

  • Thorough knowledge, understanding and ability to apply working knowledge of the relevant corporate statutes
  • Microsoft Suite of Applications, CorpLink, eCore, PPSA Canada, Adobe Acrobat, DocuSign and Closing Folders
  • Strong verbal and written communication
