About the job


In collaboration with the Director, Legal Affairs and Corporate Secretary, the incumbent will participate primarily in legal compliance monitoring of the company's policies, practices and activities, and will provide support in matters of governance, corporate secretariat and risk management.

He/she will support various internal customers in projects involving environmental issues, new energies and information technologies.


Future responsibilities:


  • Act as secretary to the Board of Directors of affiliated companies, with responsibility for organizing the various meetings required, attending all meetings and various Board committees, and drafting minutes;
  • Implement and maintain good environmental, governance and risk management practices;
  • Participate in the drafting of contracts, agreements and arrangements for the company (shareholder agreements, partnership agreements, service agreements, financing agreements, coownership agreements, etc.) to ensure the protection of the organization's interests, and provide feedback and advice to internal clients;
  • Act as advisor on corporate matters and set up relevant documentation;
  • Ensure compliance with the company's internal policies and rules;
  • Participate in the resolution of legal issues and advise teams;
  • Promote informed decisionmaking, ensure compliance with legal rules and requirements, and facilitate achievement of the company's business goals and objectives;
  • Attend meetings where attendance is required;
  • All other tasks aimed at improving the organization's efficiency and profitability.

Do you have the profile?

  • Be a member in good standing of the Quebec Bar;
  • Member in good standing of the Chambre des notaires du Québec;
  • At least 8 to 10 years' experience in business law, particularly in drafting and reviewing commercial contracts and legal compliance;
  • Very good knowledge of board structure and procedures;
  • Very good knowledge of French and English (spoken and written);
  • Excellent writing, communication and planning skills;
  • Ability to influence, manage time and priorities;
  • Demonstrate initiative and autonomy;
  • Ability to maintain excellent business relations;
  • Good knowledge of the Office suite.
