Corporate Law Clerk
Downtown Toronto
Our client, a global corporation, is adding to its team. They are in need of a Senior Law Clerk to join its legal team. This role will work with company counsel, the corporate secretary and other law clerks in corporate, securities and corporate governance matters.
Responsibilities:
Managing corporate records, including maintenance of minute books and the corporate entity database Preparing documents for formation and dissolution of entities Filing annual returns filings in Canada and U.S. and drafting minutes/resolutions Preparing organizational resolutions, bylaws, LLC operating agreements and other constating documents Performing various corporate searches and corporate online registrations Preparing and completing Canadian securities regulatory filings for public companies on SEDAR, EDGAR and TSX, including with respect to Insider Reporting obligations Drafting and/or reviewing legal documents and resolutions and assisting with diligence to support acquisitions, dispositions, financings, and corporate and restructuring matters Liaise with internal legal counsel and outside counsel and other internal functional groups Preparing officer certificates and notarial certificates Documenting flows of funds, including capital contributions, dividends, returns of capital and distributions; transfers of interests; changes to director and officer slates; special approvals; and maintaining organization charts Assisting with preparation of public/private company Board and Committee meeting materials, including the preparation of notices, agendas and resolutions Assisting with corporate disclosure, compliance activities and regulatory filings Assisting treasury teams with bank account opening and KYC requests and requirements Supporting compliance activities, including assisting with periodic reporting materials and filings Assisting with implementation of legal policies, processes and standards, and documenting related compliance process maps Maintaining entity lists and organizational structure charts and coordinating quarterly with various business groups and operating companies for updates; and preparing quarterly entity list submissions Manage Diligent entities database and CSC portal Assisting with preparation of annual disclosures, including Management Information Circulars, Annual Reports, and Annual Information Forms Requirements:
- Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario (or qualifying legal experience with an outstanding performance record)
