- 2+ years of work experience, including internship or co-op placement, as a Law Clerk or Paralegal —experience in corporate law is an asset
- Post-secondary degree as a Law Clerk
- Experience with professional corporations and not-for-profit organizations would be a strong asset
- PC skills: MS Office, Document Management software and PC Law and/or Soluno (legal accounting software)
- Collaborative skills to work with lawyers, other clerks and staff
- Independent reasoning on client files
- Prepare corporate docs: governance, incorporation, amendments, dissolution, tax reorgs, and share & asset purchases
- Update & review corporate minute books
- Manage ongoing corporate maintenance, searches, filings, and registrations
- Determine processes compliance with laws, regs, and standards
- Draft docs for corporate transactions, mergers, acquisitions, purchase agreements, etc.
- Communicate with clients, lawyers, and stakeholders
- Assist with general corporate tasks as needed
- Handle admin duties: email, calendars, meetings, correspondence, printing
- Process dockets, billing, and accounts receivable
- Organize client files using doc management system; attend to other duties as needed
