Office-based, Richmond Hill (3 days in office)


The Opportunity:

The Corporate General Counsel team is looking for a dynamic
Corporate & Securities Law Clerk.

This role will have opportunity to gain global exposure while acting as the prime contact for Canada and US as well as the opportunity to collaborate cross-functionally with different teams.

This role will have a high level of visibility with various members of our leadership team.


You Are Great At:


  • Managing corporate records, including maintenance of minute books
  • Filing annual returns filings in Canada and U.S. and drafting resolutions
  • Preparing officer certificates and notarial certificates
  • Preparing documents for formation and dissolution of entities
  • Preparing and completing Canadian securities regulatory filings for public companies on TSX & Nasdaq, including with respect to Insider Reporting obligations (SEDI)
  • Assisting treasury teams with KYC requests
  • Maintaining entity lists and organizational structure charts
  • Manage Diligent entities database and CSC portal
  • Administrative skills to assist with booking flights and accommodations for Board members

What It Takes:


  • 5+ years of experience, corporate legal background strongly preferred
  • Law Clerk Diploma
  • Experience in a publicly traded company
  • Postsecondary or equivalent work experience within a legal department
  • MS Word, Excel, PowerPoint, Visio, and corporate legal records software/database
  • Excellent communication (verbal and written) and organizational skills
  • Attention to detail
  • Able to work well under pressure, to manage multiple tasks and take ownership in supporting the team
  • Professionalism and ability to take accountability for providing timely and accurate responses to inquiries from internal and external stakeholders
