The Corporate Secretariat team reports into the Chief Legal Officer and Corporate Secretary and is comprised of professionals who support Laurentian Bank of Canada and its subsidiaries.

Whether it be through corporate governance activities, ESG strategy involvement, regulatory advisory or shareholder engagement matters, this team plays a key role within Laurentian Bank.

Responsibilities:

o Participate in the preparation and conduct of quarterly board of directors meetings for Laurentian Bank of Canada, a publicly listed Schedule 1 bank

o Participate in the subsidiary governance and reporting process

o Participate in the drafting and filing of continuous disclosure documents for the organization, including the Management Proxy Circular and the Annual Information Form

o Provide support with respect to shareholder engagement activities, including the Annual Meeting of Shareholders

o Provide legal support to all sectors of the Bank and its subsidiaries by advising on various aspects of law with a focus on corporate secretariat and regulatory obligations

o Contribute to developing insights and commentary on ESG best practices from a legal and governance perspective

o Participate in drafting, reviewing, updating and providing advice on corporate policies

o Provide support with respect to the insider trading oversight, reporting and compliance

o Foster communication with internal stakeholders and advise on communications with external stakeholders, including regulatory authorities

o Oversee administrative tasks relating to board governance, corporate organization and corporate maintenance

o Exercise judgment on moderately complex and routine activities falling within standard policies and regulatory requirements

o Resolve day-to-day issues and/or escalates with appropriate analysis and recommendation

o Contribute to a working environment where everyone belongs


Qualifications:

o University degree in Law (BCL, L.L.B. or J.D.)

o Member in good standing with a Canadian law society (ideally Quebec or Ontario

o 3-5 years of experience as a lawyer in private practice or in-house legal department with a practise focussed on corporate law and/or governance

o Complementary experience in the areas of banking regulations, securities law and/or ESG will be considered an asset

o Ideally bilingual (French and English)

o Effective oral and written communicator and decision-maker

o Consistently demonstrate all corporate values

o Ability to effectively manage competing priorities

o Demonstrated ability to get results

o A client-focused and practical problem solver with a high degree of common sense and business acumen

o Excellent team player with the ability to work independently with minimum supervision and a high degree of personal initiative

o Professional demeanor and maturity to interact with senior executives and represent the Bank externally

o Aptitude to develop strong relationships and the ability to work as part of a team are essential

o Energetic, enthusiastic, and creative
