- Agir à titre de principal·e conseiller·ère juridique auprès de l'équipe de direction, en traduisant des risques juridiques complexes en décisions d'affaires claires et concrètes.
- Participer activement à la négociation et à la gestion d'ententes de licence de grande valeur avec des marques mondiales du divertissement.
- Superviser la protection du portefeuille de propriété intellectuelle (PI) de Ludia, en veillant à ce que tous les actifs créatifs soient adéquatement protégés.
- Rédiger, réviser et négocier une grande variété d'ententes commerciales : licences technologiques, contrats d'édition, ententes fournisseurs et contrats d'impartition.
- Collaborer avec le CEO et le CFO dans l'exécution des transactions de fusions et acquisitions.
- Diriger le processus de Due Diligence juridique des sociétés cibles, en coordonnant les parties prenantes internes afin d'identifier les risques et opportunités.
- Soutenir la rédaction et la négociation des documents transactionnels (NDA, lettres d'intention – LOI, conventions d'achat).
- Contribuer à l'intégration post-clôture, en veillant à l'alignement juridique et opérationnel des équipes et actifs acquis avec les standards de Ludia.
- Veiller à ce que le studio demeure conforme aux lois locales et internationales, notamment en matière de protection des données.
- Fournir des conseils juridiques à l'équipe RH en droit du travail, rémunération des cadres et politiques internes.
- Assurer la gestion des obligations corporatives (secrétariat corporatif), la préparation des documents pour le conseil d'administration et la mise à jour des politiques internes afin de garantir une gouvernance exemplaire.
- Agir comme responsable de la gestion des dépenses juridiques externes.
- Sélectionner, mandater et superviser les cabinets externes afin d'assurer un service de haute qualité et le respect des budgets.
- Développer et maintenir une bibliothèque de modèles juridiques et de procédures standardisées afin d'améliorer l'efficacité du studio.
- 5 à 7 ans et plus d'expérience post-assermentation (PQE).
- Solide expertise en droit corporatif et commercial, avec une exposition spécifique aux transactions de fusions et acquisitions (en entreprise ou en cabinet).
- Membre en règle du Barreau du Québec.
- Une expérience dans le jeu mobile, le SaaS ou les médias numériques constitue un atout important.
- Capacité à passer aisément d'une analyse approfondie d'une acquisition complexe à la révision rapide d'un contrat marketing.
- Aisance à collaborer étroitement avec l'équipe de direction, en apportant une rigueur juridique à leur vision stratégique.

- Act as the primary legal advisor to the Executive Team, translating complex legal risks into clear, actionable business decisions.
- Be actively involved in the negotiation and management of high‑value licensing agreements with global entertainment brands.
- Oversee the protection of Ludia's Intellectual Property (IP) portfolio, ensuring all creative assets are properly secured.
- Draft, review, and negotiate a wide variety of commercial agreements: technology licenses, publishing deals, vendor contracts, and outsourcing agreements.
- Partner with the CEO and CFO on the execution of M&A transactions.
- Lead the Legal Due Diligence process for target companies, coordinating with internal stakeholders to identify risks and opportunities.
- Support the drafting and negotiation of transaction documents (NDAs, LOIs, Purchase Agreements).
- Assist with Post‑Closing Integration, ensuring acquired teams and assets are legally and operationally aligned with Ludia's standards.
- Ensure the studio remains compliant with local and international laws including data privacy laws.
- Provide legal guidance to HR on employment law, executive compensation, and internal policies.
- Manage corporate secretarial duties, board materials, and internal policies to ensure top‑tier governance.
- Act as the gatekeeper for all external legal spend.
- Select, instruct, and manage outside counsel to ensure high‑quality service and budget adherence.
- Develop and maintain a library of legal templates and standard operating procedures to increase studio efficiency.
- 5–7+ years of post‑call experience (PQE).
- You have a solid foundation in Corporate/Commercial law, with specific exposure to M&A transactions (either in‑house or at a firm).
- Member in good standing of the Barreau du Québec.
- Experience in mobile gaming, SaaS, or digital media is a significant asset.
- You are comfortable alternating between a deep‑dive into a complex acquisition and a quick review of a marketing contract.
- You enjoy working with the Executive Team, bringing legal precision to their strategic vision.
- Exceptional fluency in English and French (both written and spoken) is required to communicate effectively across diverse teams and external stakeholders.
- Hybrid position requires occasionally being at the office.

DESCRIPTION DU POSTE
Nous sommes à la recherche d'un·e Conseiller.ère juridique pour agir à titre de partenaire stratégique d'affaires dans une phase de croissance stimulante. En étroite collaboration avec le CEO, le CFO et le reste de l'équipe de direction, vous serez responsable de la fonction juridique, en veillant à la fluidité de nos opérations quotidiennes tout en offrant un soutien essentiel à nos objectifs de fusions et acquisitions (M&A) et d'expansion.
Il s'agit d'un rôle de type player-coach, où vous piloterez la stratégie juridique globale et la gestion des dépenses externes en services juridiques, tout en demeurant impliqué·e de manière concrète dans la rédaction et la négociation des contrats qui alimentent notre studio créatif.

JOB DESCRIPTION
We are seeking a Legal Counsel to act as a strategic business partner during an exciting phase of growth. Working closely with the CEO, CFO and the rest of the leadership team, you will own the legal function, ensuring our daily operations are seamless while providing essential support for our M&A and expansion objectives. This is a "player‑coach" role where you will manage high-level strategy and external legal spend, but also remain hands‑on with the contracts that fuel our creative studio.
