- Assist with corporate governance matters, including maintaining corporate records, minute books, and board resolutions.
- Prepare, review and manage a wide range of corporate documents, agreements and contracts.
- Support mergers, acquisitions, joint ventures and other corporate transactions, coordinating with internal and external counsel.
- Conduct legal research and provide summaries on general corporate law and compliance issues relevant to multinational operations.
- Liaise with internal stakeholders across multiple jurisdictions to ensure adherence to local and international legal requirements.
- Assist with regulatory filings, corporate compliance matters and corporate structure updates.
- Draft and maintain corporate policies, procedures, and internal legal templates.
- Coordinate with external counsel for specialized legal matters and provide project management support for cross-border legal initiatives.
- Monitor legal developments affecting corporate governance, regulatory compliance, and international operations.
- Law Clerk diploma or certificate from an accredited Ontario college or recognized legal training institution.
- 5+ years of law clerk experience in general corporate law within multinational organizations.
- Strong understanding of corporate governance, commercial contracts, mergers and acquisitions, and compliance issues.
- Experience working with cross-border legal matters and coordinating with external counsel in multiple jurisdictions.
- Exceptional organizational, communication, and analytical skills.
- Proficiency in legal research tools, contract management software, and Microsoft Office Suite.
- ILCO certification or coursework considered an asset.
