Job Responsibilities and Key Competencies:
- Preparing articles, including, but not limited to, incorporations and organizations, amendments, amalgamations, continuances, revivals and dissolutions
- Preparing corporate documents to implement changes and update minute books, including, but not limited to, dividend, bonus, redemption, purchase for cancellation, transfers and issuance of shares, and change of directors and officers
- Drafts agreements and provides supporting documents relating to corporate and tax reorganizations and rollovers, share and asset purchases, and sale transactions
- Drafts closing agendas for share/asset purchase transactions
- Managing extraprovincial registrations and licensing
- Conducts corporate due diligence reviews
Qualifications:
- Successful completion of a recognized Law Clerk program, or equivalent work experience
- 10+ years' experience as a Corporate Law Clerk
- Strong skills in Microsoft Office and Hummingbird Docs DM and Corplink
- Excellent communicator with fundamental problemsolving and analytical skills
- Detailoriented, well organized, possessing an aboveaverage ability in prioritizing and multitasking
- Reliable and dependable
