ROLE

  • The Corporate Counsel supports corporate governance, growth and client relations within PEMI by executing expert review and advice on an array of legal matters, particularly on business contracts with developers. The Corporate Counsel also functions as the Privacy Officer for the Cricket Group of Companies.

RESPONSIBILITIES:


Essential Duties and Responsibilities include, but are not limited to the following:

  • Provide legal services to the organization while ensuring compliance to applicable legislation and undertaking risk management.
  • Draft, revise, negotiate and manage Sub-Metering and Building Automation Systems contracts through collaboration with the President, department leaders, sales representatives, external legal counsel and clients.
  • Draft, amend and review corporate documents including articles of incorporation, director/shareholder resolutions, nondisclosure agreements, supply agreements, corporate communications, advertising, press releases, marketing materials and other applicable legal and nonlegal documents.
  • Negotiate supply and services contracts with third party service providers.
  • Provide legal review, interpretation, advice and counsel for the various aspects of the organization's operations as required.
  • Assist the Executive team in preparation for and attendance at Small Claims Court and other judicial proceedings as applicable
  • Manage correspondence and instruction to external legal counsel with respect to litigation matters
  • Act as the Company's Privacy Officer and ensure all policies and documentation are fully compliant under applicable legislation such as the Consumer Protection Act, PIPEDA and CASL.
  • Keep abreast of changes in applicable legislation pertaining to industry and employment, providing reports as necessary.
  • Conduct legal research and prepare reports and presentations as requested.
  • Field all legal and compliance inquiries from key stakeholders.
  • Address and identify internal areas of concern, endeavouring to provide resolution so as to not progress to a legal matter.
  • Liaise regularly with department heads, various stakeholders and outside counsel to ensure operational compliance.

REQUIREMENTS

  • A member in good standing with the Law Society of Ontario with a minimum of 5 years of real estate and/or contracts law experience
  • Strong understanding of legal reference materials, procedures and legal filing systems
  • Knowledge of the Consumer Protection Act, the Condominium Act, Courts of Justice Act, PIPEDA and CASL legislation.
  • Proficiency in MS Office Suite.
  • Strong analytical skills and superb attention to detail and accuracy
  • Strong research and reporting skills
  • Strong ethics and ability to manage sensitive/confidential information with tact and discretion
  • Strong communication and presentation skills with superb writing skills
  • Ability to work independently and manage time effectively
  • Good problem solving skills and the ability to make the necessary decisions to move forward the work at hand and work independently
  • High level of critical and logical thinking and/or reasoning to identify underlying issues or facts.
  • Able to work well under pressure and meet set deadlines.
  • Good organizational, time management and prioritizing skills.

WORKING CONDITIONS

  • Office environment with temporary ability to work from a home office as required
  • Some travel will be required;
  • Manual dexterity required to use desktop computer and peripherals.
  • Overtime as required.
  • Lifting or moving up to 10lbs may be required.
