In this role, I transferred corporate contractual rights and obligations to a subsidiary in anticipation of the sale of a large business unit. I reviewed foreign and domestic Procurement Agreements, Sub-Contracting Agreements, Customer Service Agreements, Engineering Licenses, IT Software Licenses and Purchase Orders to identify, inter alia, continuing legal obligations, change of control restrictions, assignment restrictions and anti-corruption provisions in order to assess contractual transferability. I advised corporate stakeholders on the appropriate means of transfer by way of Assignment or Novation. I drafted a multitude of Novation Agreements in addition to various Assignment Agreements. I liaised with the internal Procurement Department, various suppliers and their counsel to facilitate the execution of Novation Agreements and I amended Thales Standard Terms and Conditions.
