About the Legal Counsel position


Reporting to the Vice President, Legal Affairs and General Counsel, the Legal Counsel will assist the team with various aspects of coordinating specialized financing transactions, from preparing documentation to disbursement.

This involves communicating and working with external/internal teams (all Sales divisions, Credit, and Operations teams) to gain a thorough understanding of the transaction and provide quality service to all parties, while ensuring compliance with company policies and procedures.


Responsabilities:


  • Provide legal advice and prepare documentation related to specialized transactions (Refinancing, Inventory Financing, ABL, Factoring, Custom Programs, etc.)
  • Collect Sales and Credit information for the preparation of documents related to specialized transactions
  • Conduct RDPRM/PPSA research, analyze the results, and prepare any assignment or rank, subordination or release as appropriate
  • Negotiate and draft financing and guarantee agreements
  • Work with the Credit Department/Senior Legal Advisor to ensure that all preconditions have been satisfied prior to disbursement
  • Provide advice on regulatory requirements for Compliance, Legal, and Operational Risk management
  • Assist in the preparation and accuracy of Documentation policies and procedures
  • Ensure that policies and procedures are communicated and understood by Sales divisions and functional leaders
  • Provide postfunding asset management support with respect to waivers, letters of noninterest, assignment of rank received by MHCCA/MHCCL, and related to specialized transactions
  • Provide feedback on efficiency optimization
  • Collaborate on other duties as required by the position

The profile we are looking for:

  • Bachelor's Degree in Law
  • Membre of Barreau du Québec (or Ontario Bar Association) OR Chambre des notaires du Québec (or Notary Public with licensing by Law Society of Ontario)
  • 57 years of experience as a Legal Counsel
  • Experience in financing (an asset)
  • Knowledge of RDPRM/PPSA
  • Excellent writing skills
  • Ability to understand finance and credit
  • Ability to multitask and prioritize
  • Excellent interpersonal, communication and problemsolving skills
  • Known for your attention to detail, precision, and thoroughness.
  • Any other combination of experience or training related to the position may be considered_
