We are seeking an articulate Corporate Legal Counsel to join our Legal and Compliance Team.

The Corporate Legal Counsel will have the opportunity contribute across a wide range of legal matters and jurisdictions to support our unique and innovative industry.

You will work closely with our Chief Legal Officer & General Counsel and the legal team and be involved in various legal matters related to intellectual property, commercial contracts, employment, and regulatory compliance.


Responsibilities

Legal Research and Analysis:Conduct comprehensive legal research on various topics relevant to the software industry, including intellectual property law, data protection, privacy regulations, licensing agreements, and other applicable laws and regulations.

Legal Advisory: Provide timely and strategic legal advice to internal stakeholders on a broad range of corporate and commercial matters, and advise on contract negotiations, regulatory compliance, and risk management.

Contract Review and Drafting: Assist in reviewing, analyzing, and drafting a wide range of contracts, such as software development agreements, licensing agreements, non-disclosure agreements, and service agreements.

Litigation Management: Collaborate with external counsel in managing litigation matters, including dispute resolution, litigation strategy, and risk mitigation.

Compliance and Regulatory Matters:Assist in monitoring and ensuring compliance with applicable laws and regulations, such as data protection laws (e.g., GDPR, PIPEDA), consumer protection laws, and industry-specific regulations.

Due Diligence: Support the legal team in conducting due diligence reviews for potential business partnerships, mergers, and acquisitions.

Documentation and Record-Keeping:Maintain accurate and organized legal documentation, including contracts, correspondence, and other legal records.

Policy Development: Contribute to the development and maintenance of corporate policies to align with legal requirements and industry best practices.

Legal Support: Provide assistance to the legal team in day-to-day legal operations, including preparing legal memos, presentations, and reports.

Collaboration and Communication: Collaborate effectively with cross-functional teams, including software developers, product managers, and executives, to provide legal guidance and support.


Qualifications

  • Must have been called to Bar within which you practice and a minimum of 3years corporate law experience.
  • Proficient in conducting legal research, analyzing statutes, case law, and legal precedents.
  • Prior experience with reviewing, drafting, and negotiating contracts is an asset.
  • Strong attention to detail.
  • Working knowledge of intellectual property law concepts.
  • Exceptional written and verbal communication skills with the ability to effectively communicate complex legal concepts to nonlegal stakeholders.
  • Strong organizational and time management skills to handle multiple projects and prioritize tasks effectively.
  • Ability to work collaboratively within a multidisciplinary team and contribute positively to a professional work environment.
  • Familiarity with the software industry and an aptitude for understanding technical concepts and terminology would be advantageous.
