Job Description:


What You'll Do:


Reporting to the Director, Data Privacy, Risk & Compliance, you'll be responsible for maintaining corporate records, corporate legal filings, registrations, and minute books.

Provide administrative support to the Corporate Paralegal through coordination of legal reviews, maintenance of the legal tracker, preparation of documents and filing legal agreements in the contract repository.

The core parts of your role will be to:

  • Coordinates and maintains the legal intake process and tracker, coordinating internal and external legal reviews to meet quality and time standards, communicating requirements and status with project and business leaders, editing, and revising legal agreements as directed by the Corporate Paralegal.
  • Supports the Corporate Paralegal and leadership by conducting research, drafting, storing, and maintaining legal documents, intellectual property documents, contracts, leases, formal agreements, and assisting with legal issues.
  • Prepares Non-Disclosure Agreements (internal and external) and coordinates execution of signatures and filing.
  • Reviews waivers, releases, contest rules, and other legal agreements to ensure compliance with applicable laws; updates templates as needed.
  • Reviews and updates corporate minute books, highlighting any legal discrepancies, providing solutions, and rectifying to maintain consistency across corporate structure. Responsible to maintain and review corporate records, security ledgers and registers, including saving executed documents to the central repository.
  • Maintains accuracy and integrity of executed legal agreements by coordinating the signatories and storing fully executed agreements in the contract repository.
  • Liaises with the Corporate Licensing Coordinator to prepare and update information related to extraprovincial registrations of corporations, business names and related renewals in all provinces and territories across Canada as well as updating corporate information with all relevant regulatory parties. Completes filings with the Ministry of Consumer and Business Relation by working with the Corporate Licensing Coordinator and government ministries and agencies on matters pertaining to core business functions.
  • Provides support to the Corporate Licensing Coordinator through guidance on regulatory requirements, and aiding during peak periods and/or absences to ensure regulatory filings and licenses remain compliant.
  • Maintains current knowledge of legal requirements by screening laws, regulations, and policies to ensure appropriate knowledge management of legal issues impacting OGC.
  • Performs a variety of legal and administrative duties and assists with corporate legal matters as applicable and delegated.
  • Performs other duties within competence, as assigned.

Qualifications:

  • Completion of community college certificate/diploma or degree in a law clerk/paralegal program.
  • A minimum of three years' experience in the law clerk/paralegal field, experience in corporate and contract law is considered an asset.
  • Skilled in the creation and maintenance of corporate minute books
  • Exceptional communication skills and the demonstrated ability to deal effectively with all levels of internal and external stakeholders.
  • Highly organized with great attention to detail and accuracy.
  • Ability to work independently and collaboratively in a fasted paced environment.
  • The ability to communicate in French verbal and written) is considered an asset.
