Work Arrangement:

The Paralegal and Board Office Manager works in a hybrid environment, with the ability to work remotely or from one of the Corporate offices located in Vancouver, BC, Calgary, AB or Edmonton, AB.

The Legal Assistant and Board Manager will be expected to travel on an occasional basis to support in-person meetings and occasionally work weekends and evenings, as required.


Position Overview:


The Paralegal and Board Office Manager will be responsible for providing efficient and effective support to the Legal Department and the Board of Directors.

The Paralegal and Board Office Manager has oversight for the efficient functioning of the Legal Department and is responsible for coordinating activities related to the Board of Directors.

The Paralegal and Board Office Manager will be accountable for the following duties:


board management:

- ensuring the accuracy and integrity of Board and Committee meeting agendas
- assisting with the timely delivery of meeting materials to the Board
- drafting standard form resolutions
- organizing and attending all Board and Committee meetings and minuting the same
- liaising with Board Chair, Committee Chairs, directors, and senior management as needed
- maintaining up-to-date records of board members and committee composition including biographies and confidential information


corporate records:

- maintaining corporate records and electronic minute books including shareholder data
- liaising with external service providers to ensure the accuracy of corporate records and registrations
- planning and maintaining the annual Corporate Secretary calendar including Board and Committee meeting dates


administration**:

- day-to-day administration of the legal department including invoicing, responding to auditor requests, preparing KYC responses, maintaining legal file systems, and other tasks and special projects as required


Qualifications & Requirements:

- **Education**:
  • A paralegal diploma is considered an asset
  • CORES (Level II) certification is preferred

- **Experience**:
  • A minimum of 5 years of experience in private practice or in
  • house or a combination thereof with preference given to those with direct experience supporting the Corporate Secretarial function

- **Skills and Abilities**:
  • Proficient in Microsoft Office, Adobe, and Board Portals

- **Requirements**:
  • Clear criminal record check and satisfactory references
  • Must be legally eligible to work in Canada without restriction
