Role Description


Reporting to the Senior Risk and Compliance Manager, the Law Clerk will support the legal department having a wide range of corporate, real estate litigation and compliance matters.


What's Involved

_ Real Estate Litigation _

  • Manage incoming violations, notices and complaints from RECO (Real Estate Council of Ontario) and various Real Estate Boards across the GTA, CRTC and other regulatory compliance matters; draft, review and submit tribunal and board complaints/responses in timely manner
  • Assist Manager in the preparation, coordination and attendance at hearings, discoveries, settlement conferences and trials
  • Gather and prepare evidence, draft, file and serve court pleadings;
  • Prepare correspondence and legal documents according to preapproved templates, respond to undertakings
  • Proficient in utilizing a tickler system, tracking open file matters, and general management of the legal files
  • Must be familiar with Real Estate systems such as TRREB, ShowingTime, Docusign, MLS, Webforms and Geowarehouse.
  • In depth knowledge of the Rules of Civil Procedure, Small Claims Court procedures, FINTRAC guidelines, RECO regulations and _REBBA_, 2002

_Corporate_

  • Assist external counsel with corporate reorganizations, amalgamations and dissolutions by drafting and filing corporate organizational documents
  • Maintain and continuously update minute book documentation, shareholders registers, ledgers, corporate structure charts etc. for all entities
- prepare and file annual returns; conduct business name searches for availability and corporate profile searches

  • Working knowledge of corporate registry systems, including PPSA and eCore
  • Have full knowledge of the corporate charter documents and records to ensure compliance with governing statutes

_Administrative_

  • Prepare documents using legal drafting conventions and techniques
  • Research and remain abreast of changes to statutes, rules and regulations within the real estate industry and corporate law, report such changes to the legal team and all departments affected by these changes
  • Maintain indepth knowledge of legal terminology, court rules, tribunals/Board rules and regulations and procedures for filing documents
  • Assist Manager in the management of corporate compliance agenda and policies, including changes to antimoney laundering regulations developed by FINTRAC
  • Assist Manager with other tasks and projects where needed

Talent Specs

  • 5+ years of experience working at law firms as a Law Clerk in civil litigation and corporate law
  • 3 + years of litigation and real estate knowledge and experience is an asset
  • Completion of law clerk program recognized by the Institute of Law Clerks of Ontario
  • Able to work with mínimal supervision in a fastpaced, highvolume environment which requires excellent written and verbal communication skills
  • Excellent organizational, attention to detail and analytical skills
  • Superior written and oral communication skills
  • Selfconfident, motivated and able to work independently with mínimal supervision
  • Able to work well under pressure, to manage multiple tasks and take ownership in supporting the team
  • Must possess excellent research skills with an eagerness to roll up their sleeves and willingness to dive into this exciting new role.
